Anhang für das Rumpfgeschäftsjahr vom 09. Mai 2023 bis 31. Dezember 20231. Allgemeine Angaben Der Jahresabschluss des Rumpfgeschäftsjahres vom 9. Mai bis 31. Dezember 2023 der OMNIDOCKS GmbH (nachfolgend "die Gesellschaft") wurde nach den Rechnungslegungsvorschriften des Handelsgesetzbuches der §§ 264 ff. HGB und Vorschriften des GmbH-Gesetzes erstellt. Die Gesellschaft ist gemäß § 267 Abs. 1 HGB eine kleine Kapitalgesellschaft. Die größenabhängigen Erleichterungsvorschriften für kleine Kapitalgesellschaften für die Aufstellung des Jahresabschlusses wurden in Anspruch genommen. Für die Gewinn- und Verlustrechnung wurde die Darstellung nach dem Gesamtkostenverfahren nach § 275 Abs. 2 HGB gewählt. Die Gesellschaft wurde am 09.05.2023 als European Value Partners German Logistics Management GmbH. Mit Beschluss vom 04.07.2023 hat die Gesellschafterversammlung die Neufassung des Gesellschaftsvertrages gefasst. Die Gesellschaft wurde in OMNIDOCKS GmbH umfirmiert. Das Geschäftsjahr der Gesellschaft ist das Kalenderjahr. Das Rumpfgeschäftsjahr umfasst den Zeitraum vom 9. Mai 2023 bis 31. Dezember 2023. Die Gesellschaft ist beim Handelsregister des Amtsgerichts Frankfurt am Main unter HRB 131069 eingetragen und hat ihren Sitz in Frankfurt am Main. Das gezeichnete Kapital der Gesellschaft beläuft sich auf EUR 25.000,00. Die Gesellschaftsanteile wurden am Bilanzstichtag wie folgt gehalten:
Das gezeichnete Kapital war zum Bilanzstichtag voll eingezahlt. Die Kapitalrücklage der Gesellschaft beträgt EUR 362.500,00 und stammt vom Gesellschafter PGIM Real Estate European Value Partners Holding II S.à.r.l. 2. Bilanzierungs- und Bewertungsmethoden Für die Aufstellung des Jahresabschlusses waren die nachfolgenden Bilanzierungs- und Bewertungsmethoden maßgebend. Unter Finanzanlagen waren ausschließlich Anteile an verbundenen Unternehmen zu erfassen. Diese sind zu Anschaffungskosten bilanziert. Forderungen und sonstige Vermögensgegenstände sowie Guthaben bei Kreditinstituten sind zum Nominalwert bzw. Nennwert bilanziert. Die Rückstellungen berücksichtigen gemäß § 249 Abs. 1 HGB alle ungewissen Verbindlichkeiten und erkennbaren Risiken und werden in Höhe des Erfüllungsbetrags angesetzt, der nach vernünftiger kaufmännischer Beurteilung notwendig ist. Die Verbindlichkeiten werden mit Ihrem Erfüllungsbetrag angesetzt. 3. Erläuterungen zur Bilanz Die Bilanz der Gesellschaft weist zum 31. Dezember 2023 eine Überschuldung von EUR 30.105,18 aus. Das Unternehmen ist eine Verwaltungsgesellschaft, in der Manager anderer verbundener Propco-Unternehmen angesiedelt sind. Der Jahresabschluss des Unternehmens wurde unter der Prämisse der Geschäftsfortführung aufgestellt. Weitere Propco-Unternehmen werden derzeit gegründet und eines davon hat bereits einen Verwaltungsvertrag unterzeichnet und wird Verwaltungsgebühren an Omnidocks GmbH zahlen. Zum Bilanzstichtag ist das Unternehmen in einer Verlustposition, mit einer Gewinn-Erwartung in 2024 durch die Annahme weiterer Verwaltungsverträge. Die Gesellschaft ist in den Jahresabschluss des PGIM Real Estate European Value Partners II konsolidiert. Der Jahresabschluss kann am Sitz der Gesellschaft 2, Boulevard de la Foire L-1528 Luxembourg eingesehen werden. Forderungen und sonstige Vermögensgegenstände Die Forderungen und sonstigen Vermögensgegenstände bestehen aus Umsatzsteuerforderungen in Höhe von EUR 5.562,77. Rückstellungen Die sonstigen Rückstellungen in Höhe von EUR 11.499,50 betreffen Rückstellungen für Steuerberatungskosten. Verbindlichkeiten Die Verbindlichkeiten gegenüber verbundenen Unternehmen in Höhe von EUR 145.040,49, bestehen gegenüber der PGIM Real Estate EVP II Holding S.à.r.l. 4. Erläuterungen zur Gewinn-und Verlustrechnung Sonstige betriebliche Aufwendungen Die sonstigen betrieblichen Aufwendungen betreffen im Wesentlichen die Aufwendungen für die Rechtsberatung und die Verwaltung in Höhe von EUR 237.026,09. 5. Sonstige Angaben Haftungsverhältnisse Es bestehen keine Haftungsverhältnisse gemäß §251 HGB. Mitarbeiter Die Gesellschaft beschäftigt zwei Mitarbeiter. Gewährte Vorschüsse und Kredite an die Geschäftsführung Es wurden keine Vorschüsse und Kredite an die Geschäftsführung gewährt.
