AnhangI. ALLGEMEINE ANGABEN ZUM JAHRESABSCHLUSSDer Jahresabschluss zum 31. Dezember 2008 wurde unter Beachtung der gesetzlichen Vorschriften gemäß §§ 264 ff., 284 HGB aufgestellt. Die Ownership Seatours GmbH erfüllt die Größenmerkmale einer kleinen Kapitalgesellschaft gemäß § 267 Abs. 1 HGB. Von den Erleichterungen für kleine Kapitalgesellschaften gemäß § 274a, § 288 i.V.m. § 267 Abs. 1 HGB wurde teilweise Gebrauch gemacht. Im Anhang wurden alle erforderlichen Erläuterungen zur Bilanz gemacht, soweit sie nicht bereits dort gemacht worden sind. II. BILANZIERUNGS- UND BEWERTUNGSMETHODEN1. Bilanzierungsmethoden Die Bilanz wurde unter Beachtung des handelsrechtlichen Gliederungsschemas und der handelsrechtlichen Vorschriften gem. §§ 266 ff. HGB erstellt. Die Ansatzvorschriften gem. §§ 246 ff. HGB wurden beachtet. 2. Angewandte Bewertungsmethoden Der Jahresabschluss wurde unter der Annahme der Geschäftsfortführung (going-concern) aufgestellt. Das immaterielle Wirtschaftsgut des Anlagevermögens wurde zu Anschaffungskosten, vermindert um planmäßige Abschreibungen mit dem Erinnerungswert von EUR 1,00, bilanziert. Die Forderungen und sonstigen Vermögensgegenstände sowie Guthaben bei Kreditinstituten wurden zum Nominalwert angesetzt. Die Rückstellungen wurden unter Berücksichtigung der voraussichtlichen Inanspruchnahme gebildet. Die Verbindlichkeiten wurden mit den Rückzahlungsbeträgen angesetzt. III. SONSTIGE ANGABEN1. Gesellschaftsorgane Geschäftsführer waren und sind:
Die Geschäftsführer sind alleinvertretungsberechtigt und von den Beschränkungen des § 181 HGB befreit. 2. Konzernzugehörigkeit Die Ownership Seatours GmbH ist 100%iges Tochterunternehmen der Ownership Emissionshaus GmbH, Hamburg. Die Ownership Emissionshaus GmbH ist gemäß § 293 HGB von der Pflicht zur Aufstellung eines Konzernabschlusses befreit. Der Abschluss der Ownership Emissionshaus GmbH wird in den freiwillig erstellten Konzernabschluss der Ownership Holding GmbH einbezogen, da die Ownership Emissionshaus GmbH 100%ige Tochter der Ownership Holding GmbH ist.
