Anhang für das Geschäftsjahr vom 01. Januar bis 31. Dezember 20091 Allgemeine AngabenDer Jahresabschluss zum 31. Dezember 2009 ist nach den Rechnungslegungsvorschriften des Handelsgesetzbuches und des GmbH-Gesetzes aufgestellt. Die Global Life Science Holding GmbH ist eine kleine Kapitalgesellschaft i. S. d. § 267 Abs. 1 HGB. Die Gesellschaft nimmt die Erleichterungsvorschriften der §§ 326 HGB, 266 Abs. 1 S. 3, 274 a Nr. 1 und 288 HGB in Anspruch. Gemäß notariellem Vertrag vom 22. Dezember 2008 hat die Alleingesellschafterin Global Life Science Limited Partnership, Guernsey, Channel Islands, sämtliche Anteile an der Global Life Science Holding VI GmbH, München, mit Wirkung zum 29. Dezember 2008 unentgeltlich auf die Global Life Science Holding GmbH übertragen. Mit Verschmelzungsvertrag vom 22. Dezember 2008 und den Zustimmungsbeschlüssen der Gesellschafter der betroffenen Gesellschaften wurde die Global Life Science Holding VI GmbH, München, als übertragende Gesellschaft auf die Global Life Science Holding GmbH, München, mit steuerlicher Wirkung zum 30. Dezember 2008, 24:00 Uhr, verschmolzen. Die Gesellschaft war zum Stichtag 31. Dezember 2009 bilanziell überschuldet. Der nicht durch Eigenkapital gedeckte Fehlbetrag belief sich auf EUR 4.963.334,34. Zur Vermeidung der Überschuldung tritt die Global Life Science Limited Partnership, Guernsey, Channel Islands, mit den bestehenden Forderungen gegen die Global Life Science Holding GmbH, München, zugunsten der Forderungen aller gegenwärtigen und zukünftigen Gläubiger der Gesellschaft im Rang zurück. Ferner tritt die GLS (GP) Limited, Guernsey, Channel Islands, mit ihren Rückzahlungsforderungen aus den Darlehen einschließlich aller aufgrund der Darlehen angefallenen Zinsen und sonstigen Nebenforderungen unwiderruflich hinter sämtliche Forderungen derzeitiger und künftiger Gläubiger der Holding solange und insoweit zurück, wie die Holding überschuldet ist. 2. Bilanzierungs- und BewertungsmethodenDie Finanzanlagen wurden mit den Anschaffungskosten bzw. dem niedrigeren Wert angesetzt, der am Abschlussstichtag beizulegen war. Außerplanmäßige Abschreibungen wurden im Vorjahr bei Anteile an verbundenen Unternehmen vorgenommen. Forderungen und sonstige Vermögensgegenstände wurden zu Nennwerten bzw. mit dem niedrigeren Wert angesetzt, der am Bilanzstichtag beizulegen war. Guthaben bei Kreditinstituten sind zu Nennwerten bilanziert. Der aktive Rechnungsabgrenzungsposten enthält Ausgaben, die Aufwendungen für einen bestimmten Zeitraum nach dem Bilanzstichtag darstellen. Rückstellungen sind für alle erkennbaren Risiken und ungewissen Verpflichtungen in Höhe des Betrages gebildet, der nach vernünftiger kaufmännischer Beurteilung notwendig ist. Die Verbindlichkeiten werden zum Rückzahlungsbetrag passiviert. 3. Sonstige Angaben3.1 Finanzanlagen/Anteilsbesitz Die Gesellschaft hält 100 % der Anteile an der GLS Venture Capital GmbH, München. Das Eigenkapital zum 31. Dezember 2009 der GLS Venture Capital GmbH beträgt EUR -18.141.774,53. Der Jahresfehlbetrag 2009 beläuft sich auf EUR -1.405.127,09. 3.2 Geschäftsführung Zu Geschäftsführern waren im Geschäftsjahr 2009
bestellt. Die Geschäftsführer sind einzelvertretungsberechtigt.
