Konzernabschluss zum Geschäftsjahr vom 01.01.2021 bis zum 31.12.2021

Bericht des Aufsichtsrats an die Hauptversammlung

Sehr geehrte Aktionär:innen,

der Vorstand hat den Aufsichtsrat im Berichtszeitraum im Rahmen der jeweiligen Sitzungen umfassend über die Geschäftsentwicklung, die wirtschaftliche Situation des Unternehmens und der einzelnen Geschäftsbereiche sowie über die Finanz- und Investitionsplanung informiert. Darüber hinaus legte er uns ausführliche Quartalsberichte vor und berichtete zusätzlich schriftlich über Vorgänge von besonderer Bedeutung. Des Weiteren hat sich der Aufsichtsratsvorsitzende in Einzelgesprächen laufend vom Vorstand über wesentliche Entwicklungen und Entscheidungen unterrichten lassen.

Den nach den internationalen Rechnungslegungsstandards aufgestellten Konzernabschluss der Babbel Group AG zum 31. Dezember 2021 sowie den Konzernlagebericht hat die PricewaterhouseCoopers GmbH, Wirtschaftsprüfungsgesellschaft, Berlin geprüft und mit dem uneingeschränkten Bestätigungsvermerk versehen. Wir haben diese Unterlagen auch selbst geprüft.

Die Berichte der PricewaterhouseCoopers GmbH, Wirtschaftsprüfungsgesellschaft, Berlin, über die Prüfung des nach den internationalen Rechnungslegungsstandards aufgestellten Konzernabschlusses sowie der Aufstellung des Jahresabschlusses lagen allen Mitgliedern des Aufsichtsrats vor und wurden in unserer Bilanzsitzung am 9. Juni 2022 in Gegenwart des Abschlussprüfers ausführlich behandelt. Wir hatten keine Einwendungen und stimmen dem Ergebnis der Abschlussprüfung sowie dem aufgestellten Jahresabschluss zu. Der Aufsichtsrat hat den vom Vorstand aufgestellten Jahresabschluss und den Konzernabschluss gebilligt; der Jahresabschluss und der Konzernabschluss sind damit festgestellt.

Der Aufsichtsrat dankt dem Vorstand der Babbel Group AG und allen Mitarbeiter:innen ihrer Tochtergesellschaft für ihren Einsatz und ihre Leistung im abgelaufenen Geschäftsjahr.

Report of the Supervisory Board to the Annual General Meeting

Dear Shareholders,

During the reporting period, the Management Board provided the Supervisory Board with comprehensive information on business developments, on the economic situation of the Company and individual business areas, and on financial and investment planning at the respective meetings. It also submitted detailed quarterly reports to the Supervisory Board and additionally reported in writing on events of particular importance. In addition, the Chairman of the Supervisory Board was kept informed by the Management Board on developments and key decisions in regular individual meetings.

The consolidated financial statements of Babbel Group AG as of December 31, 2021, which were prepared in accordance with international accounting standards, and the Group management report were audited by PricewaterhouseCoopers GmbH, Wirtschaftsprüfungsgesellschaft, Berlin, and issued with an unqualified audit opinion. The Supervisory Board has also reviewed these documents.

The reports of PricewaterhouseCoopers GmbH, Wirtschaftsprüfungsgesellschaft, Berlin, on the audit of the consolidated financial statements prepared in accordance with International Accounting Standards and the preparation of the annual financial statements were made available to all members of the Supervisory Board and were discussed in detail at our Audit Committee meeting on June 9, 2022 in the presence of the auditors. We had no objections and concur with the results of the audit and the prepared annual financial statements. The Supervisory Board approved the annual financial statements and the consolidated financial statements prepared by the Management Board; the annual financial statements and the consolidated financial statements are thus adopted.

The Supervisory Board would like to thank the Management Board of Babbel Group AG and all employees of its subsidiary for their commitment and performance in the past fiscal year.
