Anhang für das Geschäftsjahr 20101. Allgemeine ErläuterungenDie proseed GmbH mit Sitz in Frankfurt am Main ist im Handelsregister des Amtsgerichts Frankfurt am Main unter der Nr. HRB 80855 eingetragen. Der Jahresabschluss zum 31.12.2010 wurde gemäß den Vorschriften des HGB für kleine Kapitalgesellschaften im Sinne des § 267 Abs. 1 und 4 HGB aufgestellt. 2. Bilanzierungs- und BewertungsmethodenDas Anlagevermögen ist zu historischen Anschaffungskosten, vermindert um die Abschreibung, bilanziert. Alle Forderungen und sonstige Vermögensgegenstände sind zu Nennbeträgen angesetzt. Sie haben eine Restlaufzeit von unter einem Jahr. Die Guthaben bei Kreditinstituten sind mit den Nominalbeträgen bilanziert. Das gezeichnete Kapital ist zum Nennbetrag angesetzt und vollständig eingezahlt. Sämtliche Verbindlichkeiten sind innerhalb eines Jahres fällig. Sie sind nicht durch Pfandrechte oder ähnliche Rechte gesichert. Die Verbindlichkeiten gegenüber verbundenen Unternehmen betreffen verzinsliche Darlehensverbindlichkeiten ohne feste Laufzeit. 3. Erläuterungen zur Bilanz und Gewinn- und VerlustrechnungDie Forderungen gegen verbundene Unternehmen beinhalten die Forderung aus dem Ergebnisabführungsvertrag in Höhe von 1.062.551,47 Euro. Die Verbindlichkeit gegen über verbundenen Unternehmen beinhalten eine Darlehensverbindlichkeit der Trifels Verlag GmbH in Höhe von 1.500.000,- Euro. Das Darlehen wird mit 1,5% über Euribor p.a. verzinst. Die Umsatzerlöse betrugen 283.202,22 Euro (Vorjahr 227.548,54 Euro). Die sonstigen betrieblichen Aufwendungen beinhalten EDV-Kosten (126.475,01 Euro). Rechts- und Beratungskosten (67.932,63 Euro) und Marketingkosten (53.140,29 Euro). Der Verlust der Gesellschaft wurde im Rahmen des Ergebnisabführungsvertrages von der Trifels Verlag GmbH vollständig übernommen. 4. Sonstige AngabenIm Geschäftsjahr wurden durchschnittlich 11 Mitarbeiter beschäftigt. Geschäftsführer der Gesellschaft sind Herr Michael Meckel, Frankfurt/Main Egon Scherer, Diehlheim-Horrenberg (seit 24.08.2007) Maximilian Kil, Marburg (bis 02.08.2010)
