AllgemeinesDie iris Munich GmbH i.L.- im Folgenden kurz als Gesellschaft bezeichnet - mit Sitz in München wurde durch Gesellschaftsvertrag vom 31.10.2008 mit einem Stammkapital von EUR 25.000,00 gegründet. Die Gesellschaft ist im Handelsregister (Amtsgericht München, HRB 176103) eingetragen. Die Anteile an der Gesellschaft wurden bis 04.02.2009 zu 100 % von der Foratis AG mit Sitz in Bonn gehalten. Mit notariellem Kauf- und Abtretungsvertrag vom 04.02.2009 wurden die Anteile von der iris Nation Worldwide Limited mit Sitz in London, Großbritannien, erworben. Die iris Nation Worldwide Limited hält die Anteile seitdem zu 100 %. Mit Gesellschaftsvertrag vom 04.02.2009 wurde außerdem die Firma der Gesellschaft von Weilchensee 589. V V GmbH in iris Munich GmbH geändert. Gegenstand der Gesellschaft war bis zum 04.02.2009 die Verwaltung von eigenem Vermögen. Mit notariell beglaubigtem Vertrag vom 04.02.2009 wurde der Unternehmensgegenstand neu gefasst. Der Gegenstand der Gesellschaft ab diesem Zeitpunkt ist der Betrieb einer Werbeagentur sowie die Erbringung von Dienst- und Werkleistungen aller Art im Bereich der Werbung. Die Gesellschaft befindet sich derzeit in Liquidation. Die Liquidation wurde am 25.01.2012 in das Handelsregister eingetragen. Das Geschäftsjahr der Gesellschaft ist das Kalenderjahr. B. Bilanzierungs- und BewertungsmethodenDie Bilanzierungsmethoden entsprechen den Vorschriften des Handelsgesetzbuches für Kapitalgesellschaften (§§ 264 ff. HGB). Das Guthaben bei Kreditinstituten ist mit dem Nominalbetrag ausgewiesen. C. Angaben zu Positionen der Bilanz1. Umlaufvermögen Die Forderungen und sonstigen Vermögensgegenstände enthalten Forderungen gegenüber verbundenen Unternehmen in Höhe von EUR 13.807,67 (Vj. EUR 96.300,67) und eine Umsatzsteuerforderung in Höhe von EUR 8.464,68 (Vj. EUR 8.464,68). Es bestehen Restlaufzeiten von bis zu einem Jahr. 2. Nicht durch Eigenkapital gedeckter Fehlbetrag Es besteht ein nicht durch Eigenkapital gedeckter Fehlbetrag in Höhe von EUR 582.738,31 (Vj. EUR 582.208,56). Demgegenüber steht eine Rangrücktrittserklärung der Iris London Limited. 3. Eigenkapital Das gezeichnete Kapital in Höhe von EUR 25.000,00 ist voll einbezahlt. Mit notariellem Kauf- und Abtretungsvertrag vom 04.02.2009 gingen die Anteile zu 100 % von der Foratis AG auf die iris Nation Worldwide Limited, London/Großbritannien, über. 4. Rückstellungen Die Position Rückstellungen enthält Kosten für die Erstellung des Jahresabschlusses und der Steuererklärungen. D. Sonstige Pflichtangaben1. Organe der Gesellschaft Liquidator der Gesellschaft ist: - Simon Hargreaves, Buckinghamshire/Großbritannien 2. Ergebnisverwendung Der Jahresfehlbetrag in Höhe von EUR 529,75 (Vj. EUR 312.578,37) wird auf neue Rechnung vorgetragen.
