Anhang für das Geschäftsjahr 2023
Der vorliegende Jahresabschluss für das
Geschäftsjahr vom 1. Januar bis zum 31. Dezember 2023
der F79 Holding GmbH i.L. (kurz "F79 i.L.") wurde unter
Beachtung der handelsrechtlich vorgeschriebenen
Grundsätze (§§ 242 ff., 264 ff. HGB) und der
einschlägigen Vorschriften des GmbHG aufgestellt.
Die Gesellschaft wird im Handelsregister des
Amtsgerichts Frankfurt am Main unter dem Aktenzeichen HRB
119379 geführt.
Die Gesellschaft ist eine kleine Kapitalgesellschaft im
Sinne des § 267 Abs. 1 HGB und nimmt die
größenabhängigen Erleichterungen für
kleine Kapitalgesellschaften nach § 274a HGB und
§ 288 Abs. 1 HGB teilweise in Anspruch.
Die Aktivität der Gesellschaft beinhaltet das
Halten und Erwerben von Beteiligungen an
Kapitalgesellschaften.
Am 22. Dezember 2022 beschloss die
Metall-Beteiligungs-Gesellschaft GmbH (kurz: MBG) als
alleinige Gesellschafterin der F79 Holding GmbH i.L. die
Auflösung der F79 Holding GmbH i.L. mit Wirkung zum
Ablauf des 31. Dezembers 2022. Zum Liquidator wurde,
ebenfalls mit Beschluss vom 22. Dezember 2022, der
amtierende Geschäftsführer, Herr Erich Bach,
benannt. Die Bekanntgabe der Auflösung im
Unternehmensregister erfolgte am 23. März 2023. Die
Bewertung der Gesellschaft erfolgt nunmehr zu
Liquidationswerten und nicht mehr zu
Fortführungswerten. Aufgrund des
Liquidationsbeschlusses wurde bei der Aufstellung des
Jahresabschlusses die Annahme der
Unternehmensfortführung nicht zugrunde gelegt.
2. Bilanzierungs- und Bewertungsmethoden
Die
Finanzanlagen werden zu Anschaffungskosten
angesetzt. Die Finanzanlagen werden bei voraussichtlich
dauernder Wertminderung gemäß § 253 Abs. 3
HGB auf den niedrigeren beizulegenden Wert bzw. geplanter
Liquidationsrückfluss abgeschrieben. Sofern in
Folgejahren die Gründe für die Wertminderung
entfallen, erfolgen Zuschreibungen gemäß dem
Wertaufholungsgebot des § 253 Abs. 5 HGB.
Die
flüssigen Mittel sind zum Nennwert angesetzt.
Als
aktive Rechnungsabgrenzungsposten sind Auszahlungen
vor dem Abschlussstichtag angesetzt, soweit sie Aufwand
für einen bestimmten Zeitraum nach diesem Zeitpunkt
darstellen.
Die
Rückstellungen umfassen alle erkennbaren
Risiken und ungewissen Verpflichtungen und werden in
Höhe des nach vernünftiger kaufmännischer
Beurteilung notwendigen Erfüllungsbetrages bewertet.
Die
Verbindlichkeiten sind mit dem Erfüllungsbetrag
passiviert.
3. Erläuterungen zur Bilanz
Eine von den gesamten Anschaffungskosten ausgehende
Darstellung der Entwicklung der einzelnen Bilanzposten des
Anlagevermögens enthält der Anlagenspiegel in der
Anlage zum Anhang.
Sämtliche
Rückstellungen und Verbindlichkeiten haben, wie
im Vorjahr, eine Restlaufzeit bis zu einem Jahr.
Die
Verbindlichkeiten gegenüber Gesellschaftern
resultieren aus dem Lieferungs- und Leistungsverkehr.
Im Berichtsjahr bestehen keine
Haftungsverhältnisse gemäß §
251 HGB.
4. Sonstige Angaben
Sonstige finanzielle Verpflichtungen
Es bestehen im Berichtsjahr keine sonstigen finanziellen
Verpflichtungen.

Ereignisse nach dem Bilanzstichtag
Zum 16. Mai 2024 erfolgte ein Kapitalrückfluss der
BOG Consulting GmbH i.L., Frankfurt am Main in Höhe
von TEUR 95 an die F79 i. L. In entsprechender Höhe
reduzierte sich der Beteiligungsbuchwert der BOG Consulting
GmbH i.L., Frankfurt am Main.
Weitere Vorgänge von besonderer Bedeutung, die nach
dem Schluss des Geschäftsjahres eingetreten und weder
in der Gewinn- und Verlustrechnung noch in der Bilanz
berücksichtigt sind, haben sich nicht ergeben.
