Unter Verzicht auf alle Formen und Fristen wird hiermit eine Gesellschafterversammlung der im Handelsregister des Amtsgerichts Hamburg unter HRB 73963 eingetragenen Hywax GmbH mit dem Sitz in Hamburg abgehalten, bei der das gesamte Stammkapital der Gesellschaft vertreten ist, und mit allen Stimmen beschlossen: Waiving all provisions as to form and time periods, a shareholders' meeting of the limited liability company registered in the Commercial Register under HRB 73963 of the Local Court in Hamburg, namely Hywax GmbH having its registered seat in Hamburg is herewith held, whereas the entire share capital of the Company is represented and the following resolution is unanimously adopted:
1. Der Jahresabschluss der Gesellschaft für das Geschäftsjahr vom 1. Januar 2023 bis zum 31. Dezember 2023 wird festgestellt. Die Bilanzsumme beträgt € 213.773.909,15. 1. The annual accounts of the Company regarding the fiscal year from 1 January 2023 until 31 December 2023 are approved. The balance sheet total is € 213,773,909.15.
2. Zum Abschlussprüfer für den Jahresabschluss für das am 31. Dezember 2024 endende Geschäftsjahr der Gesellschaft wird die PricewaterhouseCoopers Aktiengesellschaft Wirtschaftsprüfungsgesellschaft, Hamburg, für die Prüfung des Jahresabschlusses bestellt. 2. PricewaterhouseCoopers Aktiengesellschaft Wirtschaftsprüfungsgesellschaft, Hamburg, is appointed as auditor for the audit of the annual accounts of the Company for the fiscal year ending on 31 December 2024.
Weitere Beschlüsse werden nicht gefasst. No further resolutions are passed.
