ANHANGA. Allgemeine Angaben
Der Jahresabschluss der Gesellschaft wurde auf der Grundlage der Rechnungslegungsvorschriften des Handelsgesetzbuches aufgestellt. Größenabhängige Erleichterungen bei der Erstellung (§§ 266, 276, 288 HGB) und bei der Offenlegung (§ 326 HGB) des Jahresabschlusses werden in Anspruch genommen. Ergänzend zu diesen Vorschriften waren die Regelungen des GmbH-Gesetzes zu beachten. Die Angaben in der Bilanz sowie der Gewinn- und Verlustrechnung sind zur Verbesserung der Klarheit in der Darstellung knapp gehalten und im Anhang eingehend erläutert. Die Gewinn- und Verlustrechnung wurde nach dem Gesamtkostenverfahren erstellt.
Im Jahresabschluss sind sämtliche Vermögensgegenstände, Schulden, Rechnungsabgrenzungsposten, Aufwendungen und Erträge enthalten, soweit gesetzlich nichts anderes bestimmt ist. Das Finanzanlagevermögen wurde zu Anschaffungskosten bewertet Die Gegenstände des Umlaufvermögens wurden zum Nennwert bewertet. Die Rückstellungen berücksichtigen alle erkennbaren Risiken und ungewissen Verpflichtungen. Verbindlichkeiten wurden mit dem Rückzahlungsbetrag angesetzt. Verbindlichkeiten, die durch Pfandrechte oder ähnliche Rechte gesichert sind, bestanden nicht.
Forderungen mit einer Restlaufzeit von bis zu einem Jahr bestanden in Höhe von EUR 783.124,38. Forderungen mit einer Restlaufzeit von mehr als einem Jahr bestanden in Höhe von EUR 1.101.968,51. Verbindlichkeiten mit einer Restlaufzeit von bis zu einem Jahr bestanden in Höhe von EUR 698.874,09. Verbindlichkeiten mit einer Restlaufzeit bis zu fünf Jahren oder von mehr als fünf Jahren bestanden nicht. B. Ergebnisverwendung Der Jahresüberschuss wird entsprechend dem Ergebnisabführungsvertrag an den Organträger abgeführt. C. Sonstige Angaben Geschäftsführung Während des abgelaufenen Geschäftsjahres wurde die Geschäftsführung durch Dietrich von Stemm wahrgenommen. Er ist alleinvertretungsberechtigt und von den Beschränkungen des § 181 BGB befreit. Angaben nach § 42 Abs. 3 GmbHG Gegenüber der Gesellschafter bestanden nachfolgende Rechte und Pflichten: Forderungen EUR 1.661.968,51 Verbindlichkeiten EUR 478.423,86
