Anhang für die Schlussbilanz zum 28.02.2010HELIOS Research Center GmbH, BerlinA. Allgemeine Angaben und Erläuterungen Die Bilanz zum 28.02.2010 der HELIOS Research Center GmbH ist nach den handelsrechtlichen Vorschriften für kleine Kapitalgesellschaften nach § 267 Abs. 1 HGB aufgestellt worden. Die Gliederung der Gewinn- und Verlustrechnung erfolgte nach dem Gesamtkostenverfahren. B. Bilanzierungs- und Bewertungsmethoden Forderungen und sonstige Vermögensgegenstände werden mit dem Nennwert unter Berücksichtigung der Einzelfallrisiken sowie des allgemeinen Kreditrisikos bewertet. Durch die Bildung von Rückstellungen wird den erkennbaren Risiken und ungewissen Verbindlichkeiten angemessen Rechnung getragen. Sie werden nach vernünftiger kaufmännischer Beurteilung bemessen. Verbindlichkeiten werden zum Rückzahlungsbetrag passiviert. C. Angaben und Erläuterungen zu Posten der Bilanz und der Gewinn- und Verlustrechnung I. Angaben zu Posten der Bilanz Unter den Forderungen aus Lieferungen und Leistungen wird im Wesentlichen die Abforderung von Studiengeldern ausgewiesen. Die Forderungen betreffen mit TEUR 254 sonstige Vermögensgegenstände, davon den Cash-Pool mit TEUR 254 . Das gezeichnete Kapital beträgt TEUR 25. Die sonstigen Rückstellungen belaufen sich auf TEUR 66. Die Verbindlichkeiten haben sämtlichst eine Restlaufzeit von bis zu einem Jahr. Bei den Verbindlichkeiten gegenüber verbundenen Unternehmen handelt es sich im Wesentlichen um Studiengeldabrechnungen. Die sonstigen Verbindlichkeiten betreffen Förderung NESA (Abschusssaldo) . D. Ergänzende Angaben I. Haftungsverhältnisse Haftungsverhältnisse im Sinne der §§ 251, 268 Abs. 7 HGB bestehen nicht. II. Sonstige finanzielle Verpflichtungen Es bestehen keine sonstigen finanziellen Verpflichtungen im Sinne von § 285 Nr. 3 HGB. III. Arbeitnehmer Die Gesellschaft beschäftigte im Berichtsjahr im Durchschnitt 0 Arbeitnehmer bei Umrechnung von Teilzeitbeschäftigten auf Vollzeitkräfte. Davon entfielen auf:
IV. Geschäftsführer Als Geschäftsführer ist bestellt: Herr Prof. Ralf Kuhlen, Berlin Der Geschäftsführer ist von den Beschränkungen des § 181 BGB befreit. V. Gesellschafter 76 % des Kapitals der Gesellschaft HELIOS Research Center GmbH werden von der HELIOS Kliniken GmbH, Berlin, gehalten und 24 % des Kapitals vom Max-Delbrück-Centrum für Molekulare Medizin (MDC). Damit ist die HELIOS Research Center GmbH ein verbundenes Unternehmen zur HELIOS Kliniken GmbH, Berlin, und ihren mittelbaren und unmittelbaren Tochterunternehmen.
Die HELIOS Research Center GmbH wird in den Konzernabschluss der Fresenius SE, Bad Homburg, einbezogen. Der Konzernabschluss wird im Bundesanzeiger veröffentlicht und im Handelsregister des Amtsgerichts Bad Homburg v.d.H. unter der Nummer HRB 2617 hinterlegt werden.
