AnhangI. Allgemeine Angaben zum Jahresabschluss Die Bilanz und die Gewinn- und Verlustrechnung sind nach den Bestimmungen des Handelsgesetzbuches gegliedert. Die Gesellschaft weist zum Abschlussstichtag die Größenmerkmale einer kleinen Kapitalgesellschaft gemäß § 267 Abs. 1 HGB auf. Die Gesellschaft hat im Gründungsjahr den Geschäftsbetrieb wieder eingestellt. Der nicht durch Eigenkapital gedeckte Fehlbetrag ist durch Darlehen der Muttergesellschaft und der Konzernholding gedeckt. II. Angaben zu Bilanzierungs- und Bewertungsmethoden Der Jahresabschluss zum 31. Dezember 2011 wurde auf der Grundlage der Bilanzierungs- und Bewertungsvorschriften des Dritten Buches des HGB aufgestellt. Die Vorschriften des Bilanzrechtsmodernisierungsgesetzes wurden beachtet, führen aber zu keinen materiellen Änderungen in Bewertung und Ausweis. Im Einzelnen wurden folgende Bilanzierungs- und Bewertungsmethoden angewendet: Forderungen und sonstige Vermögensgegenstände sind zum Nennwert angesetzt. Liquide Mittel werden zum Nominalwert angesetzt. Das gezeichnete Kapital (Grundkapital) ist zum Nennbetrag angesetzt. Rückstellungen für ungewisse Verbindlichkeiten sind nach vernünftiger kaufmännischer Beurteilung gebildet und unter Beachtung der handelsrechtlichen Vorschriften mit dem Erfüllungsbetrag angesetzt und bewertet worden. Verbindlichkeiten sind mit ihrem Erfüllungsbetrag angesetzt. III. Angaben zur Bilanz Die sonstigen Rückstellungen in Höhe von EUR 6.500,00 betreffen Jahresabschluss- und Liquidationskosten. Die Verbindlichkeiten gegenüber verbundenen Unternehmen stellen in Höhe von EUR 96.616,87 Verbindlichkeiten gegenüber Gesellschaftern dar. In Höhe von EUR 476.392,35 bestehen Verbindlichkeiten gegenüber deren Gesellschafter. Beide Posten sind in mehr als einem Jahr fällig. IV. Sonstige Angaben 1. Im Geschäftsjahr 2011 erfolgte die Geschäftsführung der Gesellschaft bis zum 27. Januar 2011 durch Mr. John D. Palmer, Controller, Dallas TX, USA, und Mr. Omar A. Coucair, Kaufmann, Plano TX, USA. Die Geschäftsführer sind alleinvertretungsberechtigt und von den Beschränkungen des § 181 BGB befreit. Am 27. Januar 2011 wurde Herr Friedrich W. Stöhr, Wirtschaftsprüfer, Bad Soden zum alleinigen Liquidator bestellt. Die Eintragung im Handelsregister erfolgte am 7. November 2011. 2. Unterschrift des Liquidators
