AnhangI. Allgemeine Angaben Die Samowar Mode GmbH weist zum Bilanzstichtag die Größenmerkmale einer kleinen Kapitalgesellschaft gemäß § 267 Abs. 1 HGB auf. Größenabhängige Erleichterungen bei der Erstellung (§§266 Abs. 1 Satz 3, 274 a, 276, 288 HGB) und für die Offenlegung nach § 326 HGB wurden in Anspruch genommen. Die Gewinn- und Verlustrechnung wurde nach dem Gesamtkostenverfahren erstellt (§ 275 Abs. 2 HGB). II. Angaben zu Bilanzierung und Bewertung 2.1 Der Jahresabschluß wurde auf der Grundlage der gesetzlichen Vorschriften des Handelsgesetzbuches aufgestellt. Ergänzend zu diesen Vorschriften waren die Regelungen des GmbH-Gesetzes sowie steuerliche Bilanzierungs- und Bewertungsvorschriften zu beachten. Im Einzelnen waren dies folgende Bilanzierungs- und Bewertungsmethoden: Die Finanzanlagen werden mit dem Nennwert angesetzt. Forderungen und sonstige Vermögensgegenstände werden mit dem Nennwert angesetzt. Die liquiden Mittel werden zum Nominalwert angesetzt. Das gezeichnete Kapital wird zum Nennbetrag angesetzt. Die Kapitalrücklage durch andere Zuzahlungen in das Eigenkapital wird zum Nennbetrag angesetzt. Die sonstigen Rückstellungen sind in Höhe des Erfüllungsbetrages angesetzt, der nach vernünftiger kaufmännischer Beurteilung notwendig ist. Verbindlichkeiten bestehen zum Bilanzstichtag nicht. 2.2 Angaben in Fortführung des Jahresergebnisses Der Jahresfehlbetrag 2015 in Höhe von 970,83 € ergibt nach Verrechnung mit dem Gewinnvortrag i.H.v. 14.060,82 € einen Bilanzgewinn von 13.089,99 €. III. Sonstige Angaben 3.1 Angaben gemäß § 285 Nr. 11 a HGB Die Gesellschaft ist unbeschränkt haftende Gesellschafterin der Samowar Mode GmbH & Co. KG, Großer Hirschgraben 15, mit Sitz in Frankfurt am Main. Die Samowar Mode GmbH & Co. KG befindet sich ab dem 1.1.2014 in Liquidation. Der Liquidator der Samowar Mode GmbH & Co. KG, Herr Daryoush Seyed-Hashemi ist auch alleiniger Gesellschafter der Samowar Mode GmbH und hat bereits am 10.12.2013 die Geschäftsführung der Samowar Mode GmbH übernommen. 3.2 Angaben zu § 251 HGB Haftungsverhältnisse gemäß § 251 HGB aus nicht bilanzierten Verbindlichkeiten, insbesondere Bürgschaftsverpflichtungen, bestehen zum Bilanzstichtag nicht. 3.3 Angaben nach § 285 Nr. 9 c HGB Die Gesellschaft gewährte der Fa. Samowar Mode GmbH & Co. KG i.L., an der der alleinige Gesellschafter des Unternehmens als alleiniger Kommanditist beteiligt ist, folgende Darlehen: 1. Kreditgewährung 28.11.1985 zum Zinssatz von 3,5 % i.H.v. 17.895,21 €; 2. Kreditgewährung 25.03.1992 zum Zinssatz von 3,5 % i.H.v. 4.601,63 €; 3. Kreditgewährung 24.04.1996 zum Zinssatz von 3,5 % i.H.v. 2.300,81 €; 4. Kreditgewährung 17.07.2002 zum Zinssatz von 4,0 % i.H.v. 1.500, -- €. Die Darlehen sind zum 31.12.2018 fällig gestellt und mit dem Nennwert unter "Finanzanlagen" ausgewiesen. Ferner hat die Gesellschaft Forderungen aus Abrechnungskonto gegenüber der Samowar Mode GmbH & Co. KG i.L. in Höhe von 15.513,29 €, die unter "Forderungen und sonstige Vermögensgegenstände" mit dem Nennwert angesetzt sind. 3.4 Angaben gemäß § 42 Abs. 3 GmbHG Gegenüber dem Geschäftsführer und Gesellschafter bestehen keine Ausleihungen, Forderungen und Verbindlichkeiten. 3.5 Geschäftsführung und Vertretung Herr Daryoush Seyed-Hashemi, Frankfurt am Main, ist ab dem 10.12.2013 alleiniger Geschäftsführer. Der Geschäftsführer vertritt die Gesellschaft allein. Er ist von den Beschränkungen des § 181 BGB befreit. 3.6 Unterzeichnung gemäß § 245 HGB Die inhaltliche Richtigkeit und Vollständigkeit des Jahresabschlusses wird hiermit versichert.
