Anhang für das Geschäftsjahr 2016
I. Allgemeine Angaben Die Gesellschaft weist zum Abschlussstichtag die Größenmerkmale einer Kleinstkapitalgesellschaft gemäß § 267a Abs. 1 HGB auf. Der Jahresabschluss zum 31. Dezember 2016 ist nach den handelsrechtlichen Vorschriften der §§ 264 ff. HGB unter Berücksichtigung der Änderungen durch das Bilanzrichtlinie-Umsetzungsgesetz (BilRUG) erstellt worden. Die Bilanz wurde nach § 266 HGB, die Gewinn- und Verlustrechnung nach § 275 HGB unter Anwendung des Gesamtkostenverfahrens gegliedert. Die Geschäftsführung geht von der Unternehmensfortführung aus, da die Mehrheitsgesellschafterin eine Rangrücktrittserklärung abgegeben hat und davon auszugehen ist, dass sie weiter für die Finanzierung etwaiger Verluste einsteht bzw. die für das laufende Geschäft notwendige Liquidität zur Verfügung stellt. II. Bilanzierungs- und Bewertungsgrundsätze Forderungen und sonstige Vermögensgegenstände Die Forderungen und sonstigen Vermögensgegenstände sind mit ihrem Nennwert angesetzt. Guthaben bei Kreditinstituten Die Guthaben bei Kreditinstituten sind mit ihrem Nennwert angesetzt. Rückstellungen Die Rückstellungen sind in Höhe des nach vernünftiger kaufmännischer Beurteilung notwendigen Erfüllungsbetrages angesetzt. Verbindlichkeiten Verbindlichkeiten sind zum Erfüllungsbetrag angesetzt. III. Erläuterungen zur Bilanz Sonstige Vermögensgegenstände Die sonstigen Vermögensgegenstände haben eine Restlaufzeit von unter einem Jahr. Nicht durch Eigenkapital gedeckter Fehlbetrag Die Gesellschafterin Deutsche Druck- und Verlagsgesellschaft mit beschränkter Haftung hat in 2016 eine qualifizierte Rangrücktrittserklärung über Forderungen in Höhe von T€ 107. IV. Sonstige Angaben 1. Anzahl Mitarbeiter Die Gesellschaft beschäftigte im Geschäftsjahr 2016 durchschnittlich 2 Mitarbeiter (Vorjahr 2).
2. Mitglieder der Geschäftsführung Geschäftsführer der Gesellschaft sind Herr Jens Berendsen, Diplom-Volkswirt, Elmshorn Geschäftsführer der Deutsche Druck- und Verlagsgesellschaft mit beschränkter Haftung, Berlin und Frau Wei Qian, Altenholz Geschäftsführerin der DDVG China GmbH, Hamburg. Die Geschäftsführer sind einzelvertretungsberechtigt und von den Beschränkungen des § 181 BGB befreit. 3. Konzernabschluss Der Jahresabschluss der Gesellschaft wird in den Konzernabschluss der Deutsche Druck- und Verlagsgesellschaft mit beschränkter Haftung, Berlin, einbezogen. Dieser wird nach § 325 HGB durch Einreichung beim Betreiber des elektronischen Bundesanzeigers offengelegt und kann im Unternehmensregister (www.unternehmensregister.de) eingesehen werden.
