AnhangAllgemeine Angaben Der Jahresabschluss zum 31.12.2011 ist nach den Rechnungslegungsvorschriften des Handelsgesetzbuches und des GmbH-Gesetzes aufgestellt. Größenabhängige Erleichterungen bei der Gliederung der Bilanz wurden in Anspruch genommen. Für die Darstellung der nach dem Gesamtkostenverfahren gegliederten Gewinn- und Verlustrechnung wurde die Staffelform gewählt. Bilanzierungs- und Bewertungsmethoden Im Bereich der Finanzanlagen wurden die Anteile an verbundenen Unternehmen mit dem niedrigeren beizulegenden Wert zum Bilanzstichtag angesetzt. Die Forderungen und die sonstigen Vermögensgegenstände wurden mit dem Nennbetrag bewertet. Erkennbare Einzelrisiken wurden durch Einzelwertberichtigungen berücksichtigt. Pauschalwertberichtigungen waren nicht erforderlich. Die liquiden Mittel (Bankguthaben) sind zum Nennwert angesetzt. Rückstellungen sind für alle erkennbaren Risiken und ungewissen Verpflichtungen in Höhe des Erfüllungsbetrages gebildet, der nach vernünftiger kaufmännischer Beurteilung erforderlich ist. Die Verbindlichkeiten wurden mit dem Erfüllungsbetrag ausgewiesen. Erläuterungen zur Bilanz Die Entwicklung und Gliederung der einzelnen Posten des Anlagevermögens ist aus dem Anlagenspiegel ersichtlich; ebenso die Abschreibungen des Geschäftsjahres. Sämtliche Forderungen und sonstige Vermögensgegenstände haben eine Restlaufzeit von bis zu einem Jahr. Sämtliche Verbindlichkeiten weisen eine Restlaufzeit von bis zu einem Jahr auf. Im Gesamtbetrag sind Verbindlichkeiten gegenüber verbundenen Unternehmen (Gesellschafter) von 592.550 EUR (i.Vj. 742.226 EUR). Zur Vermeidung der bilanziellen Überschuldung wurde seitens der Gläubigerin für einen Teilbetrag von 400.000 EUR Rangrücktritt hinter sämtliche übrige Verbindlichkeiten der Gesellschaft erklärt. Am Abschlussstichtag bestanden keine wesentlichen sonstigen finanziellen Verpflichtungen. Sonstige Angaben Zu stets einzelvertretungsberechtigten Geschäftsführern der Gesellschaft waren im Berichtsjahr Herr Ingo Martin, Diplom-Ingenieur, Weilheim, und Herr Ingo Haussmann, Diplom-Kaufmann, Starnberg, bestellt. Die Gesellschaft beschäftigte im Berichtsjahr keine Arbeitnehmer. Die Gesellschaft ist zu 70 % an der renewis pv factory S.A., Evora, Portugal, beteiligt. Das Eigenkapital der renewis pv factory S.A. beträgt zum Stichtag 283.805 EUR; im Geschäftsjahr 2011 wurde ein Jahresüberschuss von 3.678 EUR erwirtschaftet. Die Feststellung bzw. Billigung des Jahresabschlusses erfolgte am 22.6.2012. |
