Plantronics GmbH, Köln, Anhang der Bilanz zum 29. März 2012I. Allgemeine Angaben Die Plantronics GmbH ist zum Bilanzstichtag 29. März 2012 eine kleine Kapitalgesellschaft im Sinne des § 267 HGB. Der Jahresabschluss wird nach den Rechnungslegungsvorschriften für Kapitalgesellschaften des Handelsgesetzbuches (HGB) unter Berücksichtigung des Gesetzes betreffend die Gesellschaften mit beschränkter Haftung (GmbHG) aufgestellt. Die Gesellschaft nimmt die größenabhängigen Erleicherungen des § 288 Abs. 1 HGB in Anspruch. Geschäftsjahr ist das Kalenderjahr. Der Jahresabschluss wurde unter Annahme der Unternehmensfortführung (Going-Concern) aufgestellt. II. Bilanzierungs- und Bewertungsmethoden Für die Erstellung des Jahresabschlusses waren die nachfolgend, gegenüber dem Vorjahr unveränderten Bilanzierungs- und Bewertungsmethoden maßgebend. Das Anlagevermögen wurde zu Anschaffungskosten angesetzt und soweit abnutzbar, um planmäßige Abschreibungen vermindert. Die planmäßigen Abschreibungen wurden nach der voraussichtlichen Nutzungsdauer der Vermögensgegenstände und entsprechend den steuerlichen Vorschriften linear vorgenommen. Forderungen und sonstige Vermögensgegenstände sind zum Nennwert bewertet. Die sonstigen Rückstellungen berücksichtigen alle am Bilanzstichtag erkennbaren Risiken. Die Verbindlichkeiten wurden zum Rückzahlungsbetrag angesetzt. Aufwendungen und Erträge sind unabhängig von den Zeitpunkten der entsprechenden Zahlungen im Jahresabschluss berücksichtigt. III. Sonstige Anlagen 1. Sachanlagevermögen Die Entwicklung des Sachanlagevermögens ist in der Anlage IV zur Bilanz dargestellt. 2. Gewinnverwendungsvorschlag Am 7. Dezember 2011 beschloss die Gesellschaft eine Gewinnausschüttung über € 1,5 Millionen. Die Geschäftsführung schlägt der Gesellschafterversammlung vor, den Jahresüberschuss 2012 in Höhe von € 353.192,38 auf neue Rechnung vorzutragen. 3. Geschäftsführung Geschäftsführer der Gesellschaft sind die Herren Marten Bezemer, Den Haag/Niederlande, Richard R. Pickard, Los Gatos/USA, Greg Tyrell, Den Haag/Niederlande. 4. Konzernabschluss Das Ergebnis der Gesellschaft wird in den Konzernabschluss der Plantronics Inc., Santa Cruz/USA, einbezogen, welche auch den Konzernabschluss für den größten Kreis von Gesellschaft aufstellt.
