Allgemeine Angaben
Die Asivknit GmbH (vormals: Tink Germany GmbH) mit Sitz
in Berlin ist im Handelsregister beim Amtsgericht
Charlottenburg unter der Nummer HRB 228480 B eingetragen.
Die Gesellschaft Tink Germany GmbH wurde am 2. Februar
2021 gegründet. Die Eintragung in das Handelsregister
erfolgte am 19. April 2021.
Durch Gesellschafterbeschlüsse vom 11./21. Juli
2022 wurde die Firma der Gesellschaft von Tink Germany GmbH
in Asivknit GmbH geändert. Die Eintragung in das
Handelsregister erfolgte am 21. Juli 2022.
Der Jahresabschluss wurde auf Grundlage der
Bilanzierungs- und Bewertungsvorschriften des
Handelsgesetzbuches (HGB) und der einschlägigen
Vorschriften des GmbHG aufgestellt.
Die Gesellschaft ist eine kleine Kapitalgesellschaft i.
S. d. § 267 Abs. 1 HGB. Die
Aufstellungserleichterungen für kleine
Kapitalgesellschaften wurden teilweise in Anspruch
genommen.
Das Geschäftsjahr entspricht dem Kalenderjahr.
Die Vorjahreswerte entsprechen dem
Rumpfgeschäftsjahr für den Zeitraum
5. März bis 31. Dezember 2021 und sind insoweit
nur eingeschränkt vergleichbar.
II.
Bilanzierungs- und Bewertungsgrundsätze
Bei der Bilanzierung und Bewertung wurde der Grundsatz
der Unternehmensfortführung beachtet.
Zur Bewertung der einzelnen Vermögens- und
Schuldposten bemerken wir Folgendes:
Forderungen und sonstige Vermögensgegenstände
sind mit den Anschaffungskosten ausgewiesen.
Guthaben bei Kreditinstituten sind mit dem Nennwert
ausgewiesen.
Das gezeichnete Kapital ist mit dem Nennbetrag und in
Übereinstimmung mit dem Ausweis im Handelsregister
ausgewiesen. Die Stammeinlagen sind vollständig
eingezahlt.
Die Rückstellungen sind in Höhe des nach
vernünftiger kaufmännischer Beurteilung
notwendigen Erfüllungsbetrages angesetzt worden und
berücksichtigen alle am Bilanzstichtag erkennbaren
passivierungspflichtigen Risiken.
Die Verbindlichkeiten sind mit dem Erfüllungsbetrag
angesetzt und weisen eine Restlaufzeit bis zu einem Jahr
aus.
Es bestehen Verbindlichkeiten aus Steuern in Höhe
von EUR 5.425,33 (Vj.: TEUR 10,2).
III.
Erläuterungen und Angaben zu einzelnen Posten des
Jahresabschlusses
Die zum Bilanzstichtag ausgewiesenen Forderungen gegen
Gesellschafter in Höhe von EUR 23.331,02 (Vj.: 69,7
TEUR) bestehen aus Lieferungen und Leistungen.
Das Stammkapital der Gesellschaft beträgt EUR
25.000,00 und ist zum Bilanzstichtag in voller Höhe
erbracht.
IV.
sonstige Angaben
Im Geschäftsjahr waren durchschnittlich 3
Mitarbeiter beschäftigt.
Alleinvertretungsberechtigter und von den
Beschränkungen des § 181 BGB befreiter
Geschäftsführer im Berichtszeitraum war Herr
Jesper Henriksson.
Die Geschäftsführung schlägt vor, das
Jahresergebnis auf neue Rechnung vorzutragen.
Der Ausbruch des Ukraine-Krieges im Februar 2022 und die
damit einhergehenden unmittelbaren und mittelbaren
wirtschaftlichen Konsequenzen können sich nachteilig
auf die Vermögens-, Finanz- und Ertragslage der
Gesellschaft auswirken, ohne dass aktuell konkrete
Einschätzungen zum Umfang und Ausmaß gemacht
werden können.
