AnhangI. Allgemeine Angaben zum JahresabschlussDer vorliegende Jahresabschluss wurde gemäß §§ 242 ff. und 264 ff. HGB sowie nach den einschlägigen Vorschriften des GmbHG aufgestellt. Es gelten die Vorschriften für kleine Kapitalgesellschaften. II. Angaben zu Bilanzierungs- und BewertungsmethodenFür die Aufstellung des Jahresabschlusses waren die nachfolgenden Bilanzierungs- und Bewertungsmethoden maßgebend, die im Wesentlichen unverändert zum Vorjahr sind. Die Bewertung der Forderungen erfolgt zum Nennwert. Sämtliche Forderungen haben eine Laufzeit bis zu einem Jahr. Die Rückstellungen tragen allen erkennbaren Risiken ausreichend Rechnung und sind in Höhe des nach vernünftiger kaufmännischer Beurteilung notwendigen Erfüllungsbetrags angesetzt. Die Verbindlichkeiten werden mit ihrem Erfüllungsbetrag ausgewiesen. III. Erläuterung zur Bilanz1. Forderungen Die Bewertung der Forderungen erfolgt zum Nennwert. Die Forderungen haben insgesamt eine Laufzeit bis zu einem Jahr. Die Forderung gegenüber verbundenen Unternehmen bestehen vollständig gegen die Gesellschafterin. 2. Eigenkapital Das Stammkapital beträgt EUR 50.000,00. Die Geschäftsführung schlägt der Gesellschafterversammlung vor, den Bilanzgewinn auf neue Rechnung vorzutragen. 3. Verbindlichkeiten Sämtliche Verbindlichkeiten sind innerhalb eines Jahres fällig. Eine Besicherung der Verbindlichkeiten liegt nicht vor. 4. Haftungsverhältnisse Zum Bilanzstichtag bestehen keine Haftungsverhältnisse. IV. Ergänzende AngabenAlleinige Gesellschafterin ist die Spiekermann GmbH Consulting Engineers, Düsseldorf. Der Jahresabschluss wird in den Konzernabschluss der Spiekermann GmbH Consulting Engineers, Düsseldorf, zum 31. Dezember 2012 einbezogen. Der Geschäftsführung gehörten im Geschäftsjahr 2012 an: Herr Frank Hubrach, Techniker, Meerbusch Die Gesellschaft nimmt die Befreiungsmöglichkeit gemäß § 288 Abs. 1 HGB in Bezug auf die Anwendung des § 285 Nr. 2, 4, 12, 21 und 21 HGB sowie die Erleichterungsmöglichkeit gemäß § 274a Nr. 5 HGB in Anspruch. Auf Seiten der Gesellschaft sind keine Vergütungen der Geschäftsführung angefallen, wodurch diese Angabe entfällt.
