hält als Alleingesellschafter unter Verzicht auf die Einhaltung aller satzungsmäßigen oder gesetzlichen Form- und Fristvorschriften eine ordentliche Gesellschafterversammlung für die Gesellschaft ab und beschließt folgendes: as sole Shareholder hereby waives all requirements with respect to the form and deadlines of convening and holding a shareholder´s meeting as required by law or statutes and holds an annual general shareholder´s meeting and passes the following resolutions:
1. Der Jahresabschluss der Gesellschaft für das Geschäftsjahr vom 01.01.2023 - 31.12.2023 wird wie aus der Anlage ersichtlich festgestellt. 1. The annual statement for the fiscal year from January 1st 2023 to December 31th 2023 as shown in the attachment is approved.
2. Der Jahresfehlbetrag in Höhe von EUR 105.751,15 wird auf neue Rechnung vorgetragen. 2. The annual loss in the amount of EUR 105,751.15 shall be carried forward to new account.
3. Der Geschäftsführung der Gesellschaft wird für das Geschäftsjahr vom 01.01.2023 - 31.12.2023 Entlastung erteilt. 3. The actions of the managing directors of the company for the fiscal year from January 1st 2023 to December 31th 2023 are hereby approved.
4. Zum Abschlussprüfer der Gesellschaft für das Geschäftsjahr 2024 wird PwC Deutschland (PricewaterhouseCoopers Wirtschaftsprüfungsgesellschaft GmbH) bestellt. 4. As auditors of the company for the fiscal year 2024 is herewith PwC Deutschland (PricewaterhouseCoopers Wirtschaftsprüfungsgesellschaft) appointed.
Weitere Beschlüsse werden nicht gefasst. Die Gesellschafterversammlung ist damit beendet. No further resolutions were passed. The shareholder ´s meeting is hereby closed.
Im Falle von Zweifeln gilt die deutsche Fassung dieses Beschlusses. In case of doubt the German version of this resolution shall prevail.
