Nippon Gohsei Europe GmbH Duesseldorf, Germany,
derzeit eingetragen im Handelsregister des Amtsgerichts Düsseldorf unter HRB 33765, presently registered in the Commercial Register of the District Court Duesseldorf under HRB 33765,
halten unter Verzicht auf alle gesetzlichen und gesellschaftsvertraglichen Form- und Fristbestimmungen hiermit eine Gesellschafter- versammlung ab und beschließen wie folgt: waiving all legal and contractual requirements regarding form and period, are herewith holding a shareholders' meeting and resolve as follows:
Der Jahresabschluss zum 31. März 2019, der mit einem Gewinnvortrag von EUR 1.077.449,79 und einem Jahresüberschuss von EUR 822.319,37, insgesamt also einem Gewinn in Höhe von EUR 1.899.769,16 abschließt, wird in der von der PricewaterhouseCoopers GmbH, Wirtschaftsprüfungsgesellschaft, Düsseldorf, unter der am 17. Juni 2019 testierten Form genehmigt. The annual financial statements as of March 31st , 2019 showing a profit carried forward in the amount of EUR 1.077.449,79 and a profit for the financial year 2018/2019 of EUR 822.319,37, an accumülated profit to the amount of EUR 1.899.769,16, are adopted in the form audited by PricewaterhouseCoopers GmbH, Wirtschaftspruefungsgesellschaft, Duesseldorf, on 17th June 2019.
Es wird am 16. März 2020 aus dem -vorgenannten Gewinn von EUR 1.899.769,16, ein Betrag in Höhe von EUR 822.000,- an die Gesellschafterin ausgeschüttet. As of 16th March 2020 an amount of EUR 822.000,- from the afore mentioned ac- cumulated profit of EUR 1.899.769,16 will be paid as a dividend to the shareholder.
Der Geschäftsführung wird für das Geschäftsjahr 2018/2019 Entlastung erteilt. The actions of the management for the financial year 2018/2019 are herewith formally approved.
Die Wirtschaftsprüfungsgesellschaft Ernst & Young GmbH, Graf-Adolf-Platz 15, " D-40213 Düsseldorf, wird zum Abschlussprüfer für das am 31. März 2020 endende Geschäftsjahr bestellt. Ernst & Young GmbH, Wirtschaftspruefungsgesellschaft, Graf-Adolf-Platz 15, D-40213 Duesseldorf, is appointed as auditor for the financial year ending on 31st March 2020.
Weitere Beschlüsse werden nicht gefasst. No further resolutions are passed.
Die Gesellschafterversammlung ist hiermit beendet. Herewith the shareholder's meeting is closed.
