ANHANGA. Allgemeine Vorschriften
Die LIMAX Verwaltungs GmbH, München, wird im
Handelsregister beim Amtsgericht München unter der Nr.
HR B 146527 geführt.
Der Jahresabschluss wurde nach den Vorschriften der
§§ 242 bis 256 und §§ 264 bis 288 HGB
aufgestellt.
Die Gesellschaft weist zum Bilanzstichtag die
Größenmerkmale einer kleinen Kapitalgesellschaft
gemäß § 267 Abs. 1 HGB aus.
B. Bilanzierungs- und Bewertungsgrundsätze
Das Sachanlagevermögen ist zu Anschaffungs- bzw.
Herstellungskosten nach Vornahme planmäßiger
Abschreibungen angesetzt.
Die Forderungen und sonstigen
Vermögensgegenstände sind mit dem Nennwert
angesetzt.
Die Rückstellungen berücksichtigen alle bis
zur Bilanzerstellung erkennbaren Risiken und ungewissen
Verpflichtungen, die das abgelaufene Geschäftsjahr
betreffen, und wurden nach vernünftiger
kaufmännischer Beurteilung bewertet.
Die Verbindlichkeiten sind mit dem Erfüllungsbetrag
angesetzt.
C. Erläuterung des Jahresabschlusses
Die Steuerrückstellungen betreffen
Steuernachzahlungen für Vorjahre.
Die sonstigen Rückstellungen dienen im Wesentlichen
der Erfassung von Kosten für Urlaubsverpflichtungen
sowie für die Erstellung des Jahresabschlusses und der
Steuererklärungen.
Sämtliche Verbindlichkeiten haben wie im Vorjahr
eine Restlaufzeit von bis zu einem Jahr und sind nicht
besichert. In den sonstigen Verbindlichkeiten ist wie im
Vorjahr ein kurzfirstiges Darlehen des Gesellschafters in
Höhe von € 270.000, -- enthalten.
D. Sonstige Angaben
Zur Geschäftsführung war im Geschäftsjahr
2022
Herr Erich Obermaier, Immobilienkaufmann, Grünwald
Frau Andrea Kustermann, Bankkauffrau, Grünwald
bestellt.
Die Geschäftsführung ist von den
Beschränkungen des § 181 BGB befreit.
2. Komplementärstellung gemäß § 285
Nr. 11a HGB
Die Gesellschaft ist an folgenden Personengesellschaften
als Komplementärin ohne Einlage beteiligt:
Eine Inanspruchnahme aus der persönlichen Haftung
ist nach den - aus den Jahresabschlüssen zum
31.Dezember 2022 ersichtlichen - wirtschaftlichen
Verhältnissen der Kommanditgesellschaften nicht zu
erwarten.
3. Sonstige finanzielle Verpflichtungen
Die Gesellschaft hat aus Mietverträgen
jährliche Aufwendungen in Höhe von T€ 124 zu
tragen. Aus Leasingsverträgen entstehen jährliche
Aufwendungen in Höhe von T€ 26.
4. Zahl der Arbeitnehmer
Die Gesellschaft beschäftigte im Geschäftsjahr
2022 durchschnittlich 4 Arbeitnehmer.
