AnhangI. Allgemeine AngabenDie Gesellschaft ist eine kleine Kapitalgesellschaft im Sinne von § 267 Abs. 1 HGB. Der Jahresabschluss der SupportSoft GmbH i.L. ist unter Beachtung der allgemeinen Vorschriften der 55 242 - 256 ff. HGB sowie der ergänzenden Vorschriften für Kapitalgesellschaften gemäß §5 264 ff. HGB in Euro aufgestellt. Von den größenabhängigen Erleichterungen, die für kleine Kapitalgesellschaften im Sinne des § 288 HGB gelten, wurde teilweise Gebrauch gemacht. Für die Gliederung der Gewinn- und Verlustrechnung wählten wir das Gesamtkostenverfahren gem. § 275 Abs. 2 HGB. Die gesetzlichen Gliederungsvorschriften wurden beachtet. Aufgrund der Liquidation der Gesellschaft besteht ein abweichendes Geschäftsahr vom 15. Dezember 2009 bis 14. Dezember 2010. II. Bilanzierungs- und BewertungsmethodenDie für Kapitalgesellschaften geltenden handelsrechtlichen Bewertungsvorschriften wurden unter Berücksichtigung der Fortführung der Unternehmenstätigkeit beachtet. Die auf den vorhergehenden Jahresabschluss angewandten Bewertungsmethoden wurden trotz der Liquidation beibehalten. Im Einzelnen erfolgen Bilanzierung und Bewertung nach den folgenden Grundsätzen:
Fremdwährungsforderungen und -verbindlichkeiten werden zu Einstandskursen bewertet. Allen am Bilanzstichtag bestehenden Risiken, soweit sie bis zur Aufstellung des Jahresabschlusses erkennbar waren, ist durch Bildung ausreichender Rückstellungen und Wertberichtigungen Rechnung getragen. Der Abschluss vermittelt ein den tatsächlichen Verhältnissen entsprechendes Bild der Vermögens-, Finanz- und Ertragslage der Gesellschaft. III. Erläuterungen zur BilanzForderungen und sonstige Vermögensgegenstände Forderungen mit einer Restlaufzeit von über einem Jahr existieren nicht. Die Forderungen gegen verbundene Unternehmen beinhalten ausschließlich eine Forderung gegen die Muttergesellschaft Support.com Inc., Redwood City, USA. Die sonstigen Vermögensgegenstände betreffen Umsatzsteuerforderungen. Rückstellungen Die sonstigen Rückstellungen betreffen die Kosten für die Jahresabschlusserstellung, die Erstellung der Jahressteuererklärungen und der Buchführung. IV. Sonstige Angaben1. Geschäftsführer Als einzelvertretungsberechtigte Geschäftsführer waren im Geschäftsjahr 2009 im Handelsregister eingetragen:
2. Mutterunternehmen Mutterunternehmen ist die Support.com Inc. mit Sitz in Redwood City, USA. 3. Liquidation Die Gesellschafterversammlung der SupportSoft GmbH i.L. hat zum 15. Dezember 2009 die Liquidation der Gesellschaft beschlossen. Anne-Marie Eileras und Shelly Brady Schaffer wurden als Geschäftsführer abberufen. Shelly Brady Schaffer wurde als Liquidator bestellt.
