Brainloop AGMünchenJahresabschluss zum Geschäftsjahr vom 01.01.2023 bis zum 31.12.2023Bericht des Aufsichtsrats gem. § 171 Abs. 2 AktG über das Geschäftsjahr 2023Sehr geehrte Aktionäre, der Aufsichtsrat der Brainloop AG (Gesellschaft) hat sich im Geschäftsjahr 2023 vom Vorstand im Rahmen der jeweiligen Sitzungen umfassend über die Geschäftsentwicklung, die wirtschaftliche Situation der Gesellschaft sowie über die Finanz- und Investitionsplanung informieren lassen und ihn überwacht und beraten. Außerhalb von Sitzungen fanden hierzu regelmäßig Gespräche zwischen dem Vorstand und Mitgliedern des Aufsichtsrats statt. Besetzung des Aufsichtsrats im Geschäftsjahr 2023 Über den gesamten Zeitraum des Geschäftsjahres 2023 waren Herr John Harrison Van Arsdale III, Herr Adam Ginsberg, Herr Dr. Ulf Gartzke und Herr Philip Rösler ganzjährig Mitglieder des Aufsichtsrats der Gesellschaft. Herr Rösler ist am 31. Dezember 2023 aus dem Aufsichtsrat ausgeschieden. Herr Liam Healy ist am 14. März 2023 aus dem Aufsichtsrat ausgeschieden. Frau Margaret Fischer ist ein neues Mitglied des Aufsichtsrats seit dem 30. März 2023. Mitglieder des Vorstands im Geschäftsjahr 2023 Herr Wolfgang Wiesner (Geschäftsführer und Chief Technology Officer) war das ganze Jahr im Vorstand. Herr Edward Pelling (Chief Commercial Officer) schied am 30. November 2023 aus dem Vorstand aus. Sitzungen des Aufsichtsrats Der Aufsichtsrat kam im Geschäftsjahr 2023 zu zwei Sitzungen zusammen, und zwar am 9. Mai.und am 5. Oktober, und fasste zudem acht Beschlüsse im Umlaufverfahren über den Brainloop-Datenraum, und zwar am 27. Januar., 08. Februar, 21. Februar, 22. Februar, 31. März, 9. Mai, 11. Mai, 5. Juni, und einen schriftlichen Beschluss am 9. November 2023. Gegenstand der Beratungen waren alle wesentlichen Fragen der Geschäftspolitik, die wirtschaftliche und finanzielle Entwicklung der Gesellschaft und ihrer Tochtergesellschaften, die Marktentwicklung, Strategie und Planung, wirtschaftliche Geschäftsereignisse bzw. Risiken, zustimmungsbedürftige Geschäfte und Personalfragen. Wesentlich Schwerpunkte waren die Beratung und Überwachung des Outsourcings von Funktionen an die Konzernmutter Diligent Corporation, die Überwachung der Geschäftsentwicklung vor dem Hintergrund der steigenden Inflation und geopolitischen Herausforderungen resultierend aus demUkrainekrieg, die Überwachung von strategischen Großprojekten im IT Sicherheitsbereich, die Beratung zur zukünftigen Produkt-und Zertifizierungsstrategie sowie die Beratung zur zukünftigen Ausrichtung der Rechtsabteilung. Jahresabschluss Der Jahresabschluss und der Lagebericht der Gesellschaft zum 31. Dezember 2023 nebst Prüfungsbericht des Abschlussprüfers, Ernst & Young GmbH Wirtschaftsprüfungsgesellschaft, vom 30. August 2024 sind vom Aufsichtsrat geprüft worden und - nachdem sich keine Einwände ergeben haben - hat der Aufsichtsrat in der Sitzung am 18. November 2024 den Jahresabschluss gebilligt. Der Jahresabschluss der Gesellschaft zum 31. Dezember 2023 ist damit festgestellt. Herr Josef Christ hat als Vertreter des Abschlussprüfers Ernst & Young GmbH Wirtschaftsprüfungsgesellschaft an der Sitzung teilgenommen und Fragen der Mitglieder des Aufsichtsrats beantwortet. Der Abschlussprüfer hat seine Bestätigungsvermerke jeweils in uneingeschränkter Form erteilt. Der Aufsichtsrat dankt dem Vorstand und den Mitarbeiterinnen und Mitarbeitern der Brainloop AG für ihren Einsatz und ihre Leistung im Geschäftsjahr 2023.
