Anhang für das Rumpfgeschäftsjahr 2011A. Allgemeine Angaben Der Jahresabschluss für das Rumpfgeschäftsjahr vom 1. Januar bis zum 31. März 2011 wurde nach den Vorschriften des Handelsgesetzbuches erstellt. Änderungen der Bilanzierungs- und Bewertungsmethoden gegenüber dem Vorjahr wurden nicht vorgenommen. Die Gesellschaft ist nach den in § 267 Abs. 1 HGB genannten Größenmerkmalen als kleine Kapitalgesellschaft einzustufen. Sie hat die gesetzlichen Erleichterungen für kleine Kapitalgesellschaften bei der Aufstellung und Offenlegung des Jahresabschlusses (§§ 274a, 276, 288 und 326 HGB) in Anspruch genommen. Eine Prüfungspflicht (§§ 316 ff HGB) für den Jahresabschluss besteht nicht. B. Angaben zur Bilanz Die Forderungen und sonstigen Vermögensgegenstände sowie die Guthaben bei Kreditinstituten wurden zu Nennbeträgen ausgewiesen. Die Forderungen enthalten Forderungen gegen Gesellschafter in Höhe von € 7.262,08. Die Rückstellungen berücksichtigen alle erkennbaren Risiken und ungewissen Verpflichtungen. Sie wurden in Höhe der erwarteten Inanspruchnahme gebildet. C. Sonstige Angaben Nicht in der Bilanz aufgeführte Haftungsverhältnisse (§ 268 Abs. 7 i. V. m. § 251 HGB) und sonstige finanzielle Verpflichtungen (§ 285 Nr. 3 HGB) bestehen zum 31. März 2011 nicht. Mitglieder der Organe (§ 285 Nr. 10 HGB): Im Rumpfgeschäftsjahr 2011 waren folgende Personen zu Geschäftsführern bestellt: · Herr Michael Dean Newton, Los Angeles, Kalifornien/USA (ab dem 7. Januar 2010) Der Geschäftsführer ist einzelvertretungsberechtigt, mit der Befugnis mit sich im eigenen Namen oder als Vertreter eines Dritten Rechtsgeschäfte mit der Gesellschaft abzuschließen. Die Gesellschaft wurde zum 1. April 2011 aufgelöst. Der diesbezügliche Handelsregistereintrag erfolgte am 11. Mai 2011. Zum Liquidator wurde Herr Michael Dean Newton bestimmt.
