Anhang zum 30. Juni 2010I. Allgemeine AngabenDie Gesellschaft wurde mit Gesellschaftsvertrag vom 20. August 1997 gegründet und ist im Handelsregister beim Amtsgericht Braunschweig (HRB 4457) eingetragen. Die Liquidation der Gesellschaft wurde zum 1. August 2009 beschlossen. Der Sitz der Gesellschaft ist Braunschweig. Die Gesellschaft hat ein abweichendes Wirtschaftsjahr (vom 1. Juli bis zum 30. Juni des Folgejahres). Der Gegenstand des Unternehmens ist die Planung und Herstellung sowie der Vertrieb und die Installation von Pinnacle Produkten und von Computer- Hard- und Softwareprodukten aller Art, speziell im Bereich der Digital-Video-Bearbeitung. Der Gegenstand des Unternehmens umfasst ebenfalls den Im- und Export der zuvor genannten Produkte und das Betreiben von Handels- und Dienstleistungsgeschäften mit diesen Produkten. Zum 1. März 2007 wurden das Anlage- und Umlaufvermögen der Gesellschaft veräußert sowie die Rückstellungen und Verbindlichkeiten übertragen und der Geschäftsbetrieb der Gesellschaft eingestellt. Die Mitarbeiter der Gesellschaft wurden zum 1. April 2007 auf die Avid Technology GmbH und die Avid Development GmbH übertragen. Die Gewinn- und Verlustrechnung wird nach dem Umsatzkostenverfahren aufgestellt gemäß § 275 Abs. 3 HGB. Die Pinnacle Systems GmbH, Braunschweig, ist eine kleine Kapitalgesellschaft i.S.d. § 267 Abs. 1 HGB. Die Aufstellung des Jahresabschlusses erfolgte in Euro. II. Angaben der auf die Posten der Bilanz und der Gewinn- und Verlustrechnung angewandten Bilanzierungs- und BewertungsmethodenDie nachstehend erläuterten Bilanzierungs- und Bewertungsmethoden wurden im Vergleich zum Vorjahr unverändert angewandt. Es ist beschlossen worden, die Pinnacle Systems GmbH zum 1. August 2009 zu liquidieren. Die Veröffentlichung im elektronischen Bundesanzeiger erfolgte durch den Liquidator am 1. September 2009. Die Anwendung von Zerschlagungswerten ändert im Vergleich zur Bilanzierung und Bewertung zu Fortführungswerten das Ergebnis der Gesellschaft nicht. Aktiva Umlaufvermögen Die Forderungen und sonstigen Vermögensgegenstände (TEUR 3.954) sowie der Kassenbestand und Guthaben bei Kreditinstituten (TEUR 1.267) werden grundsätzlich mit dem Nennwert angesetzt. Auf Währungen lautende Forderungen werden mit dem zur Zeit der Lieferung bestehenden Kurs bzw. dem zum Bilanzstichtag valutierten niedrigeren Kurs bewertet. Die Forderungen haben Restlaufzeiten bis zu einem Jahr. Wertberichtigungen in Form von Einzel- oder Pauschalwertberichtigung wurden nicht gebildet. Die Forderungen gegen verbundene Unternehmen (TEUR 3.919) betreffen fast ausschließlich den Liefer- und Leistungsverkehr in Zusammenhang mit der Veräußerung des Anlage- und Umlaufvermögens zum 1. März 2008. Passiva Eigenkapital Das gezeichnete Kapital von TEUR 2.582 ist in voller Höhe eingezahlt. Rückstellungen Die Steuerrückstellungen (TEUR 26) wurden unter Beachtung kaufmännischer Vorsicht ermittelt. Die sonstigen Rückstellungen (TEUR 164) wurden ebenfalls unter Beachtung kaufmännischer Vorsicht ermittelt. IV. Geschäftsführung und deren BezügeGeschäftsführer der Gesellschaft sind:
Die Geschäftsführung wird der Gesellschafterversammlung vorschlagen, den Verlust von EUR 102.425,44 auf neue Rechnung vorzutragen.
