Anhang für das Geschäftsjahr vom 21. November bis 31. Dezember 2024nbr tech ventures V GmbH, Stuttgartl. Bilanzierungs- und Bewertungsgrundsätze 1. Allgemeines Der Jahresabschluss wurde unter Anwendung der Vorschriften des Handelsgesetzbuches (HGB) und des GmbH-Gesetzes (GmbHG) aufgestellt. Die Gesellschaft ist eine kleine Kapitalgesellschaft gemäß § 267 Abs. 1 HGB und hat sämtliche Erleichterungen gemäß §§ 264 Abs. 1 Satz 3, 274a und 288 Satz 1 HGB in Anspruch genommen. Das Geschäftsjahr ist das Kalenderjahr. Die Gesellschaft ist mit Beschluss vom 20.11.2024 aufgelöst. 2. Anlagevermögen Es besteht kein Anlagervermögen mehr. 3. Umlaufvermögen Die Forderungen und sonstigen Vermögensgegenstände wurden zum Nominalwert angesetzt. Es bestehen zum 20.11.2024 Sonstige Forderungen in Höhe von € 24.000,00 (VJ € 24.000,00) 4. Eigenkapital Das gezeichnete Kapital der Gesellschaft beträgt € 25.000,00 und ist voll einbezahlt. Die Kapitalrücklage beträgt unverändert € 1.500,00. Das Bilanzergebnis weist einen Verlust von € 3.221.882,67 (VJ € 3.220.410,08) aus. Der nicht durch Eigenkapital gedeckte Fehlbetrag beträgt € 3.195.382,67 (VJ € 3.193.910,08). 5. Rückstellungen Rückstellungen werden für alle erkennbaren Risiken und nach § 253 Abs. 1 Satz 2, Abs. 2 HGB in Höhe des Betrags angesetzt, der sich bei Bewertung zum Erfüllungsbetrag der zugrundeliegenden Verpflichtung ergibt. 6. Verbindlichkeiten Es bestehen zum Abschlusszeitpunkt Verbindlichkeiten gegen Lieferanten in Höhe von € 5.756,98 (VJ € 6.099,19). Sonstige Verbindlichkeiten bestehen i.H. von € 8.747,69 (Vj. € 4.732,89). 7. Verbindlichkeiten gegen Gesellschafter Die Gesellschafter der nbr tech ventures V GmbH haben mit der Gesellschaft einen Darlehensvertrag über die Finanzierung der Beteiligung an der German Autolabs GmbH geschlossen. Zum 31. Dezember 2024 belaufen sich die Verbindlichkeiten gegen Gesellschafter damit unverändert auf insgesamt € 3.198.753,00 (VJ € 3.198.753,00). Die Gesellschafter haben mit Beschluss vom 15. Dezember 2023 einen qualifizierten Rangrücktritt für die bestehenden Gesellschafter-Darlehen erklärt. II. Sonstige Angaben Die Liquidatorin Petra Speidel, Nürtingen Frau Speidel wurde von den Gesellschaftern zur einzigen Liquidatorin bestellt und vertritt alleine.
