Anhang für das Geschäftsjahr vom 1. Januar bis 31. Dezember 2012A. Allgemeine Angaben zum Jahresabschluss Der Jahresabschluss für das Geschäftsjahr vom 1. Januar bis 31. Dezember 2013 wurde nach den Rechnungslegungsvorschriften des Handelsgesetzbuchs und des GmbH-Gesetzes aufgestellt. Die SolPEG GmbH, Hamburg, ist eine kleine Kapitalgesellschaft gemäß § 267 Abs. 1 HGB. Von den Erleichterungsvorschriften der §§ 274a und 288 HGB wurde Gebrauch gemacht. Ein Lagebericht wurde gemäß § 264 Abs. 1 Satz 4 i.V.m. § 267 Abs. 1 HGB nicht aufgestellt. Für die Offenlegung werden die Erleichterungsvorschriften für kleine Kapitalgesellschaften gemäß § 326 HGB angewendet. Gegenstand des Unternehmens ist die Planung von Photovoltaikanlagen ("PV"), Erstellung von PV Ertragsanalysen und -gutachten, Entwicklung von Software zur Planungsunterstützung und Analyse sowie Schulungen in den genannten Bereichen. Die Gesellschaft kann alle Geschäfte betreiben, die dem Gesellschaftszweck unmittelbar oder mittelbar zu dienen geeignet sind. Sie kann Zweigniederlassungen im In- und Ausland errichten und sich an gleichartigen oder ähnlichen Unternehmen beteiligen. B. Angaben zu Bilanzierungs- und Bewertungsmethoden Die Gegenstände des Anlagevermögens wurden zu Anschaffungskosten vermindert um planmäßige Abschreibungen angesetzt. Die Forderungen und sonstigen Vermögensgegenstände wurden zu Nominalwerten angesetzt. Wertberichtigungen waren nicht zu bilden. Der Kassenbestand und die Guthaben bei Kreditinstituten wurden zum Nennwert angesetzt. Die Rückstellungen sind in Höhe der nach vernünftiger kaufmännischer Beurteilung notwendigen Erfüllungsbeträge ausgewiesen. Die Verbindlichkeiten wurden zu ihren Erfüllungsbeträgen angesetzt. C. Angaben zur Bilanz Alle Forderungen und sonstigen Vermögensgegenstände haben eine Restlaufzeit von weniger als einem Jahr. Die Verbindlichkeiten sind innerhalb eines Jahres fällig. Verbindlichkeiten, die durch Pfandrechte oder ähnliche Rechte gesichert sind, bestehen nicht. D. Sonstige Angaben Gesellschafter am 31. Dezember 2013 waren:
Das Stammkapital ist vollständig eingezahlt. Der Geschäftsführung gehörten im Geschäftsjahr an: Dieko Jacobi, Kaufmann, Hamburg, André Schumann, Kaufmann, Hamburg und Kai Barke, Kaufmann, Hamburg. Die Herren Jacobi, Schumann und Barke sind jeweils alleinvertretungsberechtigt und von den Beschränkungen des § 181 BGB befreit. E. Ergebnisverwendungsvorschlag Die Geschäftsführung der Gesellschaft schlägt vor, das Jahresergebnis auf neue Rechnung vorzutragen. Hamburg, den 10. April 2014 gez. Dieko Jacobi gez.
