Anhang1. Allgemeine Erläuterungen Die Fachverlag Moderne Wirtschaft GmbH (nachfolgend Fachverlag genannt), Frankfurt am Main, ist im Handelsregister des Amtsgerichts Frankfurt unter der Nummer HRB 42881 eingetragen. Das Geschäftsjahr läuft jeweils vom 1. Juli eines Jahres bis zum 30. Juni des Folgejahres. Der Fachverlag ist zum 30. Juni 2023 eine kleine Kapitalgesellschaft im Sinne des § 267 Abs. 1 HGB. Die Gewinn- und Verlustrechnung wurde nach dem Gesamtkostenverfahren gem. § 275 Abs. 2 HGB aufgestellt. 2. Bilanzierungs- und Bewertungsmethoden Die Vorräte bestehen aus den derzeitigen Buchlagerbeständen bewertet zu Herstellungskosten. Die Forderungen und sonstigen Vermögensgegenstände sind mit den Nominalwerten bilanziert. Die Steuerrückstellungen und die sonstigen Rückstellungen decken alle erkennbaren Risiken und ungewissen Verpflichtungen in angemessener Höhe. Die Verbindlichkeiten sind mit ihren Erfüllungsbeträgen passiviert. 3. Erläuterungen der Bilanz Nr. 1 Das Stammkapital in Höhe von € 26.000,00 liegt in Händen der Alleingesellschafterin PricewaterhouseCoopers GmbH Wirtschaftsprüfungsgesellschaft, Frankfurt am Main (PwC). Die PwC stellt einen Konzernabschluss für den größten und kleinsten Kreis von Unternehmen auf. Sie legt ihren Konzernabschluss im Bundesanzeiger offen. Die Fachverlag Moderne Wirtschaft GmbH, Frankfurt am Main, wird gemäß § 296 Abs. 2 HGB nicht in den Konzernabschluss einbezogen. Nr. 2 Die Verbindlichkeiten gegenüber verbundenen Unternehmen betreffen ausschließlich die PwC. 4. Sonstige Angaben Die Gesellschaft hat kein eigenes Personal. Sie nimmt aufgrund eines Vertrages zur Förderung der Zusammenarbeit die Dienstleistungen der PwC in Anspruch. Zu Geschäftsführern waren während des abgelaufenen Geschäftsjahres und sind bestellt: Dr. Christian Feldmüller, Prokurist der PwC, Frankfurt am Main Dr. Oliver Zilcher, Prokurist der PwC, Düsseldorf (seit 23.05.2023) Die Geschäftsführer haben von der Gesellschaft keine Bezüge erhalten. 5. Ergebnisverwendung Die Geschäftsführung schlägt der Gesellschafterversammlung vor, den ausgewiesenen Bilanzgewinn in Höhe von EUR 292.216,22 auf das nächste Jahr vorzutragen.
