AnhangI. Allgemeine Angaben zum Jahresabschluss Die Gesellschaft hat Ihren Sitz in Meerbusch und ist eingetragen in das Handelsregister des Amtsgerichts Neuss unter der Nummer HRB 10503. Die Erstellung des Jahresabschlusses erfolgte nach den Vorschriften des Handelsgesetzbuches in der Fassung des Bilanzrichtlinie-Umsetzungsgesetzes (BilRUG). Die Gesellschaft weist zum Abschlussstichtag die Größenmerkmale einer kleinen GmbH im Sinne des § 267 Abs. 1 HGB auf. II. Angaben zu Bilanzierungs- und Bewertungsmethoden Das Sachanlagevermögen wird zu Anschaffungskosten oder Herstellungskosten vermindert um planmäßige Abschreibungen angesetzt. Dabei wird die lineare Abschreibungsmethode pro rata temporis zugrunde gelegt. Die Vorräte, Forderungen und sonstigen Vermögensgegenstände sind zum Nominalwert oder zum niedrigeren beizulegenden Wert bilanziert. Die Bewertung der liquiden Mittel erfolgt zum Nennwert. Aktive Rechnungsabgrenzungsposten sind zum Nominalwert bewertet. Die Rückstellungen berücksichtigen alle erkennbaren Risiken und ungewissen Verbindlichkeiten und werden in Höhe des Erfüllungsbetrages angesetzt, der nach vernünftiger kaufmännischer Beurteilung notwendig ist. Die Verbindlichkeiten sind zum Erfüllungsbetrag angesetzt. III. Angaben zur Bilanz In den Forderungen und sonstigen Vermögensgegenständen sind Forderungen mit einer Restlaufzeit von mehr als einem Jahr in Höhe von 869,16 € enthalten. In den Verbindlichkeiten sind Verbindlichkeiten gegenüber Gesellschaftern in Höhe von 1.288.103,98 € enthalten. Die Verbindlichkeiten weisen folgende Restlaufzeiten aus:
Durch Grundpfandrechte sind Verbindlichkeiten in Höhe von 29.728.125,00 € besichert. Im Geschäftsjahr wurden derivative Finanzinstrumente (Zinscap und Zinsswap) zur Absicherung künftiger Zahlungsströme aus einem variabel verzinslichen Darlehen verwendet. Den Derivaten liegt ein Grundgeschäft mit vergleichbarem, gegenläufigem Risiko (Mikro-Hedge) zugrunde. Das mit der aus dem Grundgeschäft und dem Sicherungsgeschäft gebildeten Bewertungseinheit nach § 254 HGB gesicherte Kreditvolumen beträgt zum Bilanzstichtag EUR 29,73 Mio. Die Höhe der mit Bewertungseinheiten abgesicherten Risiken beträgt zum Stichtag T€ 1.162. Für den negativen Marktwert des Zinsswaps i.H.v. T€ 1.162 wurde aufgrund der Bewertungseinheit nach § 254 HGB keine Drohverlustrückstellung gebildet. Der Zinscap hat zum Stichtag eine positiven Marktwert i.H.v. T€ 101. IV. Angaben zur Gewinn- und Verlustrechnung Die Gewinn- und Verlustrechnung wurde nach dem Gesamtkostenverfahren (§ 275 Abs. 2 HGB) aufgestellt. Die Zinsen und ähnlichen Aufwendungen beinhalten Zinsaufwendungen gegenüber verbundenen Unternehmen in Höhe von 6.524,01 €. V. Sonstige Angaben Im Geschäftsjahr 2016 war zum Geschäftsführer bestellt:
Der Geschäftsführer erhielt im Geschäftsjahr 2016 keine Bezüge. Mehrheitsgesellschafterin der Fortress Multi-Service Center GmbH ist die Fortress Multi-Service Center Fund II GmbH & Co. KG mit Sitz in Düsseldorf. Die Fortress Multi-Service Center Fund II GmbH & Co. KG ist gemäß § 293 Abs. 1 HGB von der Verpflichtung zur Erstellung eines Konzernabschlusses befreit. sonstige Berichtsbestandteile
