AnhangErläuterungen zum Jahresabschluss 2011 Gegenstand des Unternehmens Gegenstand des Unternehmens ist der Erwerb und die Verwaltung von Beteiligungen sowie die Übernahme der persönlichen Haftung und der Geschäftsführung bei Handelsgesellschaften. Gesellschaftliche Verhältnisse Die Gesellschaft wurde am 16.08.2001 gegründet. Sie ist im Handelsregister München unter der Nummer HRB 138893 mit Sitz in Tutzing, Landkreis Starnberg und einem Stammkapital von 25.000 € eingetragen. Mit Beschluss der Gesellschafterversammlung vom 20.09.2008 wurde die Liquidation der Gesellschaft beschlossen und Frau Rechtsanwältin/Steuerberaterin Thirza Höfer zur Liquidatorin bestellt. Das vollständig einbezahlte Stammkapital wird von folgenden Personen gehalten:
Grundlagen der Rechnungslegung Der vorliegende Jahresabschluss wurde nach den maßgeblichen Vorschriften des Handelsgesetzbuches und denen des GmbH-Gesetzes aufgestellt. Die Bilanz sowie die Gewinn- und Verlustrechnung sind entsprechend den Bestimmungen des HGB gem. §§ 266, 275 HGB gegliedert. Die Darstellung der Gewinn- und Verlustrechnung wurde nach dem Gesamtkostenverfahren gem. § 275 Abs. 2 HGB erstellt. Grundsätze zur Bilanzierung und Bewertung Die Wertansätze in der Bilanz der Paroli Records GmbH zum 31.12.2010 wurden unverändert als Bilanzvorträge in neue Rechnung übernommen. Die Forderungen und sonstigen Vermögensgegenstände wurden grundsätzlich zum Nominalwert angesetzt. Das Guthaben bei Kreditinstituten ist zum Nennwert angesetzt; es stimmt mit den Kontoauszügen überein. Die Eigenkapitalpositionen sind mit dem Nennwert angesetzt. Die Rückstellungen beinhalten sämtliche, nach vorsichtiger kaufmännischer Beurteilung erkennbaren Risiken. Die sonstigen Rückstellungen beinhalten Rückstellung für Abschluss- und Prüfungskosten für die Jahresabschluss 2009, 2010 und 2011 (1.000 €) sowie für IHK-Beiträge (150 €). Die Verbindlichkeiten sind mit dem Rückzahlungsbetrag passiviert. Verjährte Verbindlichkeiten wurden ausgebucht. Sonstige Angaben Haftungsverhältnisse im Sinne des § 251 HGB haben zum Bilanzstichtag nicht bestanden. Sonstige finanzielle Verpflichtungen bestanden zum Bilanzstichtag nicht. Im Geschäftsjahr waren keine Mitarbeiter beschäftigt. Für die Kosten der Liquidation hat sich der Gesellschafterkreis gutgesagt.
