C. ERGÄNZENDE ANGABEN

I. Zusammensetzung von und Rechtsbeziehungen zu Organen der Gesellschaft

Im Geschäftsjahr 2018 wurden keine Arbeitnehmer beschäftigt.

III. Aus der Bilanz nicht ersichtliche Haftungsverhältnisse und sonstige finanzielle Verpflichtungen

Mit Vertrag vom 11. Dezember 1999 wurde die Übernahme von 51 v.H. des Aktienkapitals der türkischen Aktiengesellschaft "ILKNAK Su Urunlerie Sanayi ve Ticaret A.S." durch die Gesellschaft beschlossen.

Für den Erwerb dieses Anteils wurde ein Kaufpreis von US-Dollar 640.517 vereinbart.

Gleichzeitig wurde eine Darlehensgewährung an die türkische AG i.H.v. US Dollar 434.843 vereinbart.

Der Vertrag wurde durch die Gesellschafterversammlung vom 14. Dezember 1999 genehmigt.

Zur Abwicklung dieser Vereinbarung erhielt die Seafarm GmbH (nun: Nireus GmbH) München ein Gesellschafterdarlehen der ehemaligen Muttergesellschaft Seafarm Ionian S.A., Kifissia, Griechenland über insgesamt US Dollar 1.050.000.

Durch Fusion im Jahr 2015 ist das Darlehen auf die neue Muttergesellschaft Nireus Aquaculture, Griechenland als Rechtsnachfolger übergegangen.

Der Erwerb der Beteiligung und die Darlehensgewährung erfolgten im Januar 2000.

Die Beteiligung wurde im Jahr 2015 zu einem Kaufpreis von EUR 810.717,00 veräußert.

Durch die Gesellschafterversammlung vom 2. August 2000 wurde eine Kapitalerhöhung um EUR 975.000 auf EUR 1.000.000 beschlossen.

Wegen fehlendem Eintrag ins Handelsregister wurde diese Erhöhung nicht wirksam vollzogen.

Die auf die beschlossene Kapitalerhöhung geleistete Zahlung i.H.v. 950.000 € ist deshalb als Verbindlichkeit gegenüber verbundenen Unternehmen auszuweisen.

Durch Beschluss vom 12.09.2017 wurde eine Kapitalerhöhung i.H.v. 3.875.000€ beschlossen und durchgeführt.

Der Jahresabschluss wurde am 03.09.2019 festgestellt.
