der MAJORIVA GmbH

Die MAJORIVA GmbH wurde mit Gesellschaftsvertrag vom 20. Februar 2003 gegründet und beim Amtsgericht Königstein im Taunus unter der Handelsregisternummer 5991 eingetragen.

Die MAJORIVA GmbH ist eine kleine Kapitalgesellschaft im Sinne des § 267 Abs. 1 HGB. Die Offenlegung des Jahresabschlusses erfolgt nach §§ 325/326 HGB.

Bilanzierungs- und Bewertungsgrundsätze

Die Bilanzpositionen sind mit den Anschaffungswerten angesetzt.

Erläuterungen zu den Bilanzpositionen

AKTIVA

Die Aktiva besteht überwiegend aus Unternehmensbeteiligungen und Bankguthaben.

PASSIVA

Eigenkapital

Das Stammkapital in Höhe von € 25.000 wird zu 100 % von der Celanese US Holdings LLC, Wilmington, New Castle County, Delaware, USA gehalten und ist voll eingezahlt.

Konzernzugehörigkeit

Die Gesellschaft und ihre Tochterunternehmen werden in den für die Gesellschaft befreienden Konzernabschluss der Celanese Corporation, Dallas/USA, als Mutterunternehmen für den kleinsten und zugleich größten Kreis von Unternehmen einbezogen. Die Celanese Corporation stellt zum 31. Dezember 2010 einen Konzernabschluss nach US-amerikanischen Rechnungslegungsgrundsätzen auf, der am Sitz der Muttergesellschaft sowie über die Medien der Wertpapieraufsichtsbehörde U.S. Securities and Exchange Commission (www.sec.gov) erhältlich ist. Eine deutsche Übersetzung wird im elektronischen Bundesanzeiger veröffentlicht.

Verträge

Die Gesellschaft hat mit Wirkung vom 03.06.2010 mit der Celanese GmbH einen Beherrschungsvertrag abgeschlossen, der das herrschende Unternehmen zur Verlustübernahme verpflichtet.

Sonstiges

Das Geschäftsjahr ist das Kalenderjahr.

Die Gesellschaft hat kein eigenes Personal.
