München, 12.10.2009 Großberger Passauer Anhang der Kyros 2849 GmbH, für das Rumpf-Geschäftsjahr vom 01. Januar bis 30. September 2009(1) Die Gesellschaft ist im Handelsregister des Amtsgerichts München unter HRB 175075 eingetragen. Die Gesellschaft wurde gemäß Urkunde URNr. 2804/2008 des Notars Dr. Michael Bohrer in München am 31. Juli 2008 ordnungsgemäß errichtet und am 25. August 2008 unter RM 2849 Vermögensverwaltungs GmbH im Handelsregister eingetragen. (2) Mit notariell beurkundetem Beschluss der Gesellschafterversammlung vom 06. Juli 2009 wurden unter anderem die Firma der Gesellschaft in Kyros 2849 GmbH geändert und das Geschäftsjahr entsprechen dem Siemens-Konzern-Geschäftsjahr auf den 30.09. umgestellt. Die entsprechende Satzungsänderung wurde am 16. Juli 2009 im Handelsregister eingetragen. (3) Die Gliederung der Gewinn- und Verlustrechnung und der Bilanz sowie die Bilanzierung und Bewertung erfolgen nach den für Kapitalgesellschaften geltenden handelsrechtlichen Vorschriften. Der Abschluss ist in EUR aufgestellt. (4) Geschäftszweck Gegenstand des Unternehmens ist die Verwaltung eigenen Vermögens. (5) Forderungen werden zum Nennbetrag, Verbindlichkeiten werden zum Rückzahlungsbetrag ausgewiesen. (6) Bei den Guthaben bei Kreditinstituten handelt es sich um den Saldo des Bankkontos der Gesellschaft bei der Deutsche Bank AG in München zum Stichtag 30.09.2009. (7) Das gezeichnete Kapital beträgt EUR 25.000 und ist in voller Höhe einbezahlt. Es wird von der Atecs Mannesmann GmbH, Düsseldorf, gehalten. (8) Die Verbindlichkeiten haben eine Restlaufzeit von bis zu einem Jahr und bestehen ausschließlich gegenüber der Siemens AG im Rahmen der Konzernfinanzierung. (9) Das Zinsergebnis betrifft ausschließlich Zinsaufwendungen an Verbundene Unternehmen (10) Die Gesellschaft hat keine eigenen Mitarbeiter. (11) Mitglieder der Geschäftsführung
(12) Mutterunternehmen Die Kyros 2849 GmbH ist ein Tochterunternehmen der Atecs Mannesmann GmbH, Düsseldorf, die ihrerseits als Konzernunternehmen in den Konzernabschluss der Siemens Aktiengesellschaft, Berlin und München, einbezogen wird. Der Konzernabschluss und der Konzernlagebericht der Siemens Aktiengesellschaft für das Geschäftsjahr 2008/2009 werden beim Betreiber des elektronischen Bundesanzeigers elektronisch eingereicht und nach der Einreichung im elektronischen Bundesanzeiger bekannt gemacht.
