I. Allgemeine Angaben
Die Gesellschaft ist nach den Größenkriterien des § 267 Abs. 1 HGB eine kleine Kapitalgesellschaft. Sie erfüllt zudem die Größenmerkmale einer Kleinstkapitalgesellschaft gemäß § 267a HGB.
Der Jahresabschluss für das Rumpfgeschäftsjahr vom 18. September bis 31. Dezember 2014 ist nach den Vorschriften des Handelsgesetzbuches aufgestellt worden. Die ergänzenden Bestimmungen des GmbHG wurden beachtet.
Die Gliederung des Jahresabschlusses erfolgte nach den handelsrechtlichen Vorschriften der §§ 264 ff. HGB. Von den größenabhängigen Erleichterungen gemäß §§ 264 Abs. 1 Satz 5, 266, 274a, 276 und 288 HGB wurde bei der Aufstellung des Jahresabschlusses teilweise Gebrauch gemacht. Auf die Aufstellung des Anhang wurde nicht verzichtet.
Die für kleine Kapitalgesellschaften und Kleinstkapitalgesellschaften eingeräumten Erleichterungen bei der Gliederung der Bilanz wurden für Zwecke der Offenlegung teilweise in Anspruch genommen. Auf die Erleichterung gemäß § 326 Abs. 2 HGB wurde verzichtet.
II. Bilanzierungs- und Bewertungsmethoden
Die geleisteten Anzahlungen und Anlagen im Bau werden in Höhe der angefallenen Anschaffungs- und Herstellungskosten bewertet. Die Herstellungskosten beinhalten die direkt zurechenbaren Einzelkosten.
Die Forderungen und sonstigen Vermögensgegenstände wurden zum Nominalwert angesetzt.
Die Guthaben bei Kreditinstituten wurden mit den Nominalbeträgen angesetzt.
Das als gezeichnetes Kapital ausgewiesene Stammkapital der Gesellschaft beträgt zum Bilanz-stichtag TEUR 25. Das Kapital ist vollständig eingezahlt.
Die sonstigen Rückstellungen werden in Höhe des Erfüllungsbetrages angesetzt, der nach vernünftiger kaufmännischer Beurteilung notwendig ist, um zukünftige Zahlungsverpflichtungen abzudecken. Zukünftige Preis und Kostensteigerungen werden berücksichtigt, sofern ausreichende objektive Hinweise für deren Eintritt vorliegen. Wesentliche Rückstellungen mit einer Restlaufzeit von mehr als einem Jahr bestehen nicht.
Die Verbindlichkeiten wurden mit dem Erfüllungsbetrag passiviert.
III. Erläuterungen zur Bilanz
Die Entwicklung und die Aufteilung der einzelnen Posten des Anlagevermögens sind in einem Anlagenspiegel auf Seite 4 dargestellt.
