Anhang für das Geschäftsjahr 2012
Rozaya AG Fashion Design, Berlin
I. Allgemeine Angaben, Gliederung
Die Gesellschaft wurde mit notariellem Vertrag vom 2. Juni 2012 gegründet. Das erste Geschäftsjahr ist ein Rumpfgeschäftsjahr und dauert vom 2. Juni 2012 bis zum 31. Dezem¬ber 2012. Der Jahresabschluss zum 31. Dezember 2012 der Rozaya AG Fashion Design, Berlin, ist nach den geltenden handelsrechtlichen Vorschriften und den ergänzenden Vor¬schriften des Aktiengesetzes aufgestellt worden.
Angaben, die wahlweise in der Bilanz, in der Gewinn- und Verlustrechnung oder im Anhang gemacht werden können, sind insgesamt im Anhang aufgeführt.
Nach den in § 267 Abs. 1 HGB angegebenen Größenklassen ist die Gesellschaft eine kleine Kapitalgesellschaft.
Die Gliederung der Bilanz und der Gewinn- und Verlustrechnung erfolgte nach den §§ 266 und 275 Abs.2 HGB (Gesamtkostenverfahren). Darüber hinaus werden die größenabhängi¬gen Erleichterungen gem. § 264 Abs. 1 Satz 4 (Lagebericht) § 274a HGB und § 288 HGB (sonstige Angaben) in Anspruch genommen.
II. Bilanzierungs- und Bewertungsmethoden
Die Bewertung der Finanzanlagen erfolgt mit den Nominalwerten bzw. Anschaffungskos¬ten.
Die Forderungen und sonstigen Vermögensgegenstände und die flüssigen Mittel sind zu Nennwerten angesetzt.
Der Ausweis des Grundkapitals erfolgt nach § 272 HGB in der zum Bilanzstichtag im Handelsregister eingetragenen Höhe.
Die sonstigen Verbindlichkeiten werden mit dem Erfüllungsbetrag angesetzt.
III. Erläuterungen zu den einzelnen Posten der Bilanz
1. Finanzanlagen
Die in den Finanzanlagen ausgewiesenen Wertpapiere des Anlagevermögens betreffen verbriefte Unternehmensanleihen in Höhe von nominal US $ 2.000.000 der Westhouse Medical Services PLC, London, United Kingdom. Der beizulegende Wert betrug zum Bilanzstichtag aufgrund eines geringeren Dollarkurses € 1.515.725. Eine Abwertung auf den niedrigeren Betrag wurde aufgrund des Bewertungswahlrechts nicht wahrgenommen.
2. Forderungen und sonstige Vermögensgegenstände
Die in der Bilanz ausgewiesenen sonstigen Vermögensgegenstände sind innerhalb eines Jahres fällig.
Die Sonstigen Vermögensgegenstände stellen ausschließlich Steuerforderungen dar.
3. Gezeichnetes Kapital
Das zum Nennbetrag angesetzte Gezeichnete Kapital (Grundkapital) beträgt € 1.000.000,00. Es ist eingeteilt in 1.000.000 auf den Inhaber lautenden Stückaktien.
4. Kapitalrücklage
Die Kapitalrücklage bildet sich aus dem Unterschiedsbetrag zwischen eingebrachten Fi¬nanzanlagen und dem gezeichneten Kapital.
5. Verbindlichkeiten
Die Restlaufzeiten der Verbindlichkeiten betragen nicht mehr als ein Jahr.
Die sonstigen Verbindlichkeiten beinhalten Verbindlichkeiten gegenüber einem Aktionär, der die Gründungsaufwendungen vorverauslagt hat.
6. Haftungsverhältnisse und sonstige finanzielle Verpflichtungen
Haftungsverhältnisse und sonstige finanzielle Verpflichtungen bestanden nicht.
IV. Erläuterungen zu den einzelnen Positionen der Gewinn- und Ver¬lustrechnung
1. sonstige betriebliche Aufwendungen
Die sonstigen betrieblichen Aufwendungen setzten sich im Wesentlichen aus den Grün¬dungsaufwendungen zusammen.
V. Sonstige Angaben

Die Gesellschaft beschäftigt derzeit keine Mitarbeiter.
