ANHANGAllgemeine Angaben Der Jahresabschluss der improof artwork engineering GmbH, Hamburg, (im Folgenden "Gesellschaft" genannt) für das am 31. Dezember 2012 endende Geschäftsjahr wurde nach den Vorschriften des HGB für kleine Kapitalgesellschaften aufgestellt. Gemäß § 264 Abs. 1 HGB wurde auf die Aufstellung eines Lageberichts verzichtet. Bilanzierungs- und Bewertungsmethoden Die Forderungen aus Leistungen sind zum Nominalwert abzüglich erforderlicher Einzelwertberichtigungen angesetzt. Die Forderungen gegen verbundene Unternehmen und die sonstigen Vermögensgegenstände sind zum Nominalwert ausgewiesen. Die Rückstellungen umfassen alle erkennbaren Risiken und ungewisse Verpflichtungen; die Bewertung erfolgt auf Basis einer vernünftigen kaufmännischen Beurteilung. Erläuterungen zur Bilanz Forderungen und sonstige Vermögensgegenstände Die Forderungen aus Lieferungen und Leistungen haben eine Restlaufzeit von weniger als einem Jahr. Forderungen gegen verbundene Unternehmen bestehen gegen die DDB Tribal Group GmbH (TEUR 231) und gegen den Gesellschafter (TEUR 4). Rückstellungen Die Pensionsrückstellung (TEUR 229) wurde nach folgenden Parametern berechnet: · Angewandtes versicherungsmathematisches Berechnungsverfahren: PUC-Methode · Zinssatz: 5,07% p.a. · Rententrend: 1,00% p.a. · Zugrunde gelegte Sterbetafeln: Richttafeln 2005 G von Klaus Heubeck · Bei den neuen Bewertungsvorgaben der Pensionsrückstellung nach BilMoG hat die Gesellschaft von der Übergangsregelung Gebrauch gemacht und den Zuführungsbetrag in 2012 auf die Mindestansammlung von 1/15 beschränkt (Euro 2.353). Der zum 31.12.2012 nicht ausgewiesene Rückstellungsbetrag (12/15) beträgt Euro 28.233. Verbindlichkeiten Verbindlichkeiten gegen verbundene Unternehmen bestehen gegen die Doyle Dane Bernbach Group GmbH (TEUR 47). Sonstige Angaben Durchschnittliche Anzahl der Beschäftigten Die Gesellschaft beschäftigte im Berichtszeitraum analog zum Vorjahr keine Mitarbeiter. Geschäftsführung Geschäftsführer sind die Herren: Phillip Schilling, Hamburg Stefan Setzkorn, Hamburg Die Geschäftsführer vertreten die Gesellschaft gemeinsam mit einem weiteren Geschäftsführer oder Prokuristen. Zum Prokuristen bestellt ist: Gunnar Bonn, Hamburg Verbundene Unternehmen 100% des Stammkapitals der Gesellschaft werden von der "Rapp Germany GmbH", Hamburg, gehalten. Diese wiederum ist zu 100% Tochterunternehmen der "Doyle Dane Bernbach Group GmbH", Unterhaching. Damit ist die Gesellschaft verbundenes Unternehmen zu "Omnicom Group Inc.", New York, USA, und ihren Tochtergesellschaften. Beherrschungs- und Gewinnabführungsvertrag Die Gesellschaft hat mit der "Rapp Germany GmbH", Hamburg, in 1994 einen Beherrschungs- und Gewinnabführungsvertrag abgeschlossen, durch den sie sich verpflichtet, ihren gesamten Jahresüberschuss an die "Rapp Germany GmbH", Hamburg, abzuführen. Andererseits hat sich die "Rapp Germany GmbH", Hamburg, dazu verpflichtet, einen eventuellen Verlust der Gesellschaft auszugleichen.
