ANHANG zum Jahresabschluss der WISK 2009-1 GmbH i.L., Frankfurt am Main, für das Rumpf-Liquidationsgeschäftsjahr vom 01.08.2013 bis 31.12.2013Allgemeine Angaben zum Jahresabschluss Der Jahresabschluss der Gesellschaft zum 31.12.2013 ist nach den Vorschriften des Handelsgesetzbuches unter Beachtung der ergänzenden Regelungen des GmbH-Gesetzes aufgestellt worden. Die Kapitalgesellschaft weist die Größenmerkmale einer kleinen Kapitalgesellschaft gemäß § 267 Abs. 1 HGB auf. Von den vorgesehenen, größenabhängigen Erleichterungen nach § 264 Abs. 1 Satz 3 HGB, § 288 HGB sowie der §§ 325 ff. HGB haben wir Gebrauch gemacht. Die Gliederung der Bilanz sowie der Gewinn- und Verlustrechnung entspricht den §§ 266 und 275 HGB; wobei für die Gewinn- und Verlustrechnung das Gesamtkostenverfahren Anwendung findet. Soweit für Pflichtangaben ein Wahlrecht besteht, diese in der Bilanz bzw. Gewinn- und Verlustrechnung oder im Anhang darzustellen, sind diese im Anhang aufgeführt. Bilanzierungs- und Bewertungsmethoden Die Bewertung der Vermögens- und Schuldposten trägt allen bekannten Risiken nach den Grundsätzen vorsichtiger kaufmännischer Beurteilung Rechnung. Die Gesellschaft konnte entsprechend ihres Gesellschaftszwecks nicht tätig werden und befindet sich infolgedessen seit dem 01.08.2013 in Liquidation. Bei der Bewertung wurde daher nicht mehr von einer Fortführung des Unternehmens ausgegangen. Die sonstigen Vermögensgegenstände sind mit dem Nennwert unterBeachtung des strengen Niederstwertprinzips bilanziert. Sie betreffen einen Anspruch auf Erstattung einbehaltener Zinsabschlagsteuer und Solidaritätszuschlag und haben eine Restlaufzeit von bis zu einem Jahr. Die Guthaben bei Kreditinstituten sind zum Nennwert bilanziert. Das gezeichnete Kapital ist zum Nennbetrag angesetzt. Sonstige Pflichtangaben Firma Mit Gesellschaftsvertrag vom 18.12.2008 wurde die Gesellschaft gegründet. Die Eintragung in das Handelsregister Frankfurt am Main ist am 29.12.2008 unter HRB 84568 erfolgt. Die Gesellschaft sollte als Einzweckgesellschaft ("EZG") für die Emmission von Schuldscheinen, welche Zahlungen auf die Schuldscheine in Abhängigkeit von der Entwicklung eines Portfolios von 11 Immobiliendarlehen vorsehen ("die Transaktion"), fungieren. Nachdem dieser einzige Gesellschaftszweck nicht zustande gekommen war, haben die Gesellschafter der WISK 2009-1 GmbH die Auflösung der Gesellschaft mit Wirkung zum Ablauf des 31.07.2013 beschlossen. Die Abwicklung wird voraussichtlich einen Zeitraum von ca. 18 Monaten in Anspruch nehmen. Organe Die Gesellschaft wird durch die Liquidatoren verteten wie folgt: · Herrn Dr. Hartmut Bechtold, Frankfurt, · Frau Monika Simm, Frankfurt, · Herr Mario Uhrmacher, Frankfurt. Die Liquidatoren vertreten die Gesellschaft jeweils zu zweit gemeinschaftlich mit einem weiteren Liquidator. Sie sind von den Beschränkungen des § 181 Alt. 2 BGB befreit. Arbeitnehmer Die Gesellschaft beschäftigt keine Arbeitnehmer. Beteiligungsverhältnisse Die Anteile an der Gesellschaft werden zu je einem Drittel gehalten von: · Stiftung Kapitalmarktrecht für den Finanzstandort Deutschland, Frankfurt, · Stiftung Kapitalmarktforschung für den Finanzstandort Deutschland, Frankfurt, · Stiftung Unternehmensfinanzierung und Kapitalmärkte für den Finanzstandort Deutschland, Frankfurt.
