AnhangA. ALLGEMEINE ANGABEN ZUM JAHRESABSCHLUSS I. Grundsatzangaben Der Jahresabschluss der Firma Freundl GmbH zum 31. Dezember 2007 wurde nach den Vorschriften des 3. Buches des Handelsgesetzbuches (HGB) und des GmbH-Gesetzes aufgestellt. Nach den in § 267 HGB angegebenen Größenklassen ist die Gesellschaft eine kleine Kapitalgesellschaft. Für die Gewinn- und Verlustrechnung wurde das Gesamtkostenverfahren gewählt. Aufbau und Gliederung der Bilanz und der Gewinn- und Verlustrechnung entsprechen dem Vorjahr. Die Wertansätze der Bilanz zum 31. Dezember 2006 wurden unverändert übernommen. Von den größenabhängigen Erleichterungen für kleine Kapitalgesellschaften wurde Gebrauch gemacht. Durch die Rangrücktrittserklärung von Herrn Freundl konnte eine bilanzielle Überschuldung zum Bilanzstichtag 31. Dezember 2007 verhindert werden. Im Einzelnen ergeben sich hierzu folgende Angaben: II. Bilanzierungs- und Bewertungsmethoden 1. Die immateriellen Vermögensgegenstände wurden mit ihren Anschaffungskosten abzüglich planmäßiger Abschreibungen angesetzt. 2. Die Sachanlagen wurden zu Anschaffungskosten angesetzt und - soweit abnutzbar - um planmäßige Abschreibungen vermindert. Die Abschreibungen wurden im steuerlich zulässigen Rahmen sowohl linear als auch degressiv vorgenommen. Geringwertige Wirtschaftsgüter im Sinne des § 6 Abs. 2 EStG wurden in 2007 voll abgeschrieben. 3. Die Vorräte und fertigen Erzeugnisse wurden mit ihren Anschaffungs- bzw. Herstellungskosten oder der ihren am Bilanzstichtag niedrigeren beizulegenden Werten angesetzt. 4. In den Finanzanlagen sind Rückdeckungsansprüche aus Lebensversicherungen enthalten, die mit ihren aktivierungspflichtigen Deckungskapitalien gemäß versicherungsmathematischen Gutachten bilanziert wurden. 5. Die Forderungen und sonstige Vermögensgegenstände wurden zu Nennwerten unter Berücksichtigung aller erkennbaren Risiken angesetzt. 6. Kassenbestand, Bundesbankguthaben, Guthaben bei Kreditinstituten und Schecks sind zu Nennwerten bilanziert worden. 7. Der aktive Rechnungsabgrenzungsposten enthält Ausgaben, die Auf- wendungen für einen bestimmten Zeitraum nach dem Bilanzstichtag darstellen. 8. Das gezeichnete Kapital ist mit dem Nennwert bewertet. 9. Rückstellungen sind für alle erkennbaren Risiken und ungewissen Verpflichtungen in Höhe des Betrages gebildet, der nach vernünftiger kaufmännischer Beurteilung notwendig ist. Rückstellungen für drohende Verluste aus schwebenden Geschäften und Rückstellungen für unterlassene Instandhaltung waren nicht zu erwarten und daher nicht zu berücksichtigen. 10. Verbindlichkeiten wurden mit dem Rückzahlungs- bzw. Erfüllungsbeträgen bilanziert. B. ERLÄUTERUNGEN ZU BILANZPOSTEN 1. Angaben zu den Verbindlichkeiten - § 285 Nr. 1a und 1b HGB a) Der Gesamtbetrag der Verbindlichkeiten mit einer Restlaufzeit von mehr als 5 Jahren beträgt € 0,00. b) Angaben zu a) entfallen somit. 2. Der Verlustvortrag aus Vorjahren beträgt € 22.625,52. Der Jahresfehlbetrag für den Zeitraum 1. Januar - 31. Dezember 2007 beträgt € 61.658,62. C. ERLÄUTERUNGEN ZU POSTEN DER GEWINN- UND VERLUSTRECHNUNG - entfallen gem. § 326 HGB - D. SONSTIGE ANGABEN I. Geschäftsführer: II. Herr Erhard Freundl, Gräfelfing Eventualverbindlichkeiten/Haftungsverhältnisse Kein Bestand per 31. Dezember 2007. III. Forderungen/Verbindlichkeiten gegenüber Gesellschaftern - § 42 Abs. 3 GmbHG: Forderungen an Gesellschafter bestanden per 31. Dezember 2007 keine. Verbindlichkeiten gegenüber Gesellschaftern bestanden zum 31. Dezember 2007 in Höhe von € 70.247,74.
