-Anhang für das Geschäftsjahr 2023-I. Allgemeine Angaben Die examio GmbH hat ihren Sitz in Siegen. Sie ist im Handelsregister des Amtsgerichtes Siegen unter HRB 9906 eingetragen. Mit der examio Plattformen GmbH mit Sitz in Siegen (Amtsgericht Siegen, HRB 13622) als herrschendem Unternehmen ist am 22.12.2023 ein Beherrschungs- und Ergebnisabführungsvertrag geschlossen. Die Eintragung hierzu im Handelsregister erfolgte mit Datum vom 04.01.2024. Der Jahresabschluss zum 31. Dezember 2023 wird nach den Vorschriften des Handelsgesetzbuches aufgestellt. Dabei werden die gesetzlichen Gliederungsschemata der §§ 266 bzw. 275 HGB unverändert angewandt. Ergänzend hierzu werden die Regelungen des GmbH-Gesetzes beachtet. Bei der Gesellschaft handelt es sich um eine kleine Kapitalgesellschaft i. S. d. § 267 Abs. 1 HGB. Die in den Vorjahren angewandten Bilanzierungs- und Bewertungsmethoden wurden unverändert angewandt. II. Angaben zu Bilanzierungs- und Bewertungsmethoden Aktiva Erworbene immaterielle Anlagewerte wurden zu Anschaffungskosten angesetzt und sofern sie der Abnutzung unterlagen, um planmäßige Abschreibungen vermindert. Das Sachanlagevermögen wurde zu Anschaffungs- bzw. Herstellungskosten angesetzt und soweit abnutzbar, um planmäßige Abschreibungen vermindert. Die planmäßigen Abschreibungen wurden nach der voraussichtlichen Nutzungsdauer der Vermögensgegenstände linear vorgenommen. Die Forderungen und die sonstigen Vermögensgegenstände wurden mit dem Nennwert bilanziert. Die Flüssigen Mittel sind zum Nennwert bilanziert. Die Bewertung des Rechnungsabgrenzungspostens erfolgt zum zeitanteilig abgegrenzten Nennwert von Ausgaben, sofern diese erst nach dem Bilanzstichtag aufwandswirksam werden. Passiva Die Rückstellungen berücksichtigen alle erkennbaren Risiken und ungewisse Verbindlichkeiten. Sie sind mit dem nach vernünftiger kaufmännischer Beurteilung notwendigen Erfüllungsbetrag angesetzt. Die Verbindlichkeiten wurden mit ihrem Erfüllungsbetrag angesetzt. Aktiva/Passiva Geschäftsvorfälle in fremder Währung werden zum jeweiligen Tageskurs eingebucht. III. Angaben zu den Posten der Bilanz Sonstige Vermögensgegenstände Sonstige Vermögensgegenstände in Höhe von EUR 7.950,00 (Vorjahr EUR 7.950,00) haben eine Restlaufzeit von mehr als einem Jahr. Eigenkapital Bei dem in der Bilanz ausgewiesenen Bilanzgewinn ist ein Gewinnvortrag aus den Vorjahren in Höhe von EUR 1.113.562,02 (Vorjahr EUR 486.396,51) enthalten. Im Jahr 2023 erfolgten Ausschüttungen in Höhe von brutto gesamt € 69.439,72. Verbindlichkeiten Die Verbindlichkeiten haben mit EUR 45.874,59 (Vorjahr EUR 28.410,34) eine Restlaufzeit bis zu einem Jahr und mit EUR 900,00 (Vorjahr EUR 900,00) eine Restlaufzeit über ein Jahr. Es bestehen Verbindlichkeiten gegenüber Gesellschaftern in Höhe von EUR 0,00 (Vorjahr EUR 463,11 ). IV. Sonstige Angaben Arbeitnehmer Die durchschnittliche Zahl der während des Geschäftsjahres im Unternehmen beschäftigten Arbeitnehmer betrug 21. Geschäftsführung Die Geschäftsführung der Gesellschaft wird durch ihren Geschäftsführer
vorgenommen.
