ALLGEMEINE ANGABEN ZUM JAHRESABSCHLUSS und Bilanzierungs- Und bewertungsmethoden 1. Allgemeines Der Jahresabschluss der Hay Systems (HSL) GmbH, Hamburg, ist nach den Vorschriften der §§ 264 ff. HGB erstellt worden. Die Gesellschaft hat die Vorschriften für kleine Kapitalgesellschaften gemäß § 267 Abs. 1 HGB i. V. m. § 288 Abs. 1 HGB, des GmbHG und des Steuerrechts angewandt. Von den Erleichterungen für kleine Kapitalgesellschaften wurde Gebrauch gemacht. Die Gesellschaft wurde mit Gesellschaftsvertrag vom 20. September 2011 gegründet. Der Jahresabschluss wurde für das Geschäftsjahr vom 1. Dezember 2011 bis zum 30. November 2012 erstellt. Dies ist das erste volle Geschäftsjahr der Gesellschaft, daher ist ein Vorjahresvergleich nur eingeschränkt möglich. Bei der Gewinn- und Verlustrechnung wurde das Gesamtkostenverfahren gemäß § 275 Abs. 2 HGB angewandt. 2. Bilanzierungs- und Bewertungsmethoden Der Jahresabschluss wurde auf der Grundlage der Bilanzierungs- und Bewertungsvorschriften des Handelsgesetzbuches aufgestellt. Im Einzelnen waren dies die folgenden Grundsätze und Methoden: Die Forderungen und sonstigen Vermögensgegenstände sind mit dem Nominalwert bilanziert. Sie haben eine Restlaufzeit von bis zu einem Jahr. Der Ansatz der liquiden Mittel erfolgt zum Nennwert. Das Eigenkapital wird zum Nominalwert angesetzt. Die sonstigen Rückstellungen werden in Höhe des nach vernünftiger kaufmännischer Beurteilung notwendigen Erfüllungsbetrages angesetzt. Die Verbindlichkeiten werden mit dem Erfüllungsbetrag angesetzt. Die Verbindlichkeiten haben sämtlich eine Restlaufzeit von bis zu einem Jahr. B. ERLÄUTERUNGEN ZUR BILANZUmlaufvermögen Unter den Forderungen und sonstigen Vermögensgegenständen werden Forderungen gegen verbundene Unternehmen sowie das Umsatzsteuerguthaben für 2011 und für 2012 ausgewiesen. Das gezeichnete Kapital der Gesellschaft beträgt zum Bilanzstichtag EUR 25.000,-. Es ist vollständig eingezahlt. Unter den Verbindlichkeiten werden sonstige Verbindlichkeiten ausgewiesen. C. Sonstige Angaben1. Haftungsverhältnisse Eventualverbindlichkeiten im Sinne des § 251 HGB bestehen zum Bilanzstichtag nicht. 2. Geschäftsführung Im laufenden Geschäftsjahr war zur Geschäftsführung der Gesellschaft bestellt: Herr Mark David Hay, Kaufmann, Broxburn, Schottland, Großbritannien Hamburg, den 20. August 2013 Die Geschäftsführung Der Jahresabschluss wurde am 20. September 2013 festgestellt. Das Ergebnis wird auf neue Rechnung vorgetragen. |
