Anwendung des Handelsgesetzbuches Die Gesellschaft weist zum Abschlussstichtag die Größenmerkmale einer kleinen Kapitalgesellschaft im Sinne der §§ 264, 267 I HGB auf. Die Bilanzierung und Bewertung erfolgen nach den Vorschriften des Handelsgesetzbuches für kleine Kapitalgesellschaften sowie den ergänzenden Vorschriften des GmbH-Gesetzes. Der vorliegende Jahresabschluss ist grundsätzlich unter Beibehaltung der für den Vor-jahresabschluss angewendeten Gliederungs- und Bewertungsgrundsätzen nach den für kleine Kapitalgesellschaften geltenden Vorschriften des Handelsgesetzbuches aufgestellt (§§ 265 I 2, 266 ff. HGB). Der Jahresabschluss wurde erstmals nach den Vorschriften des Bilanzrechtsmodernisierungsgesetzes (BilMoG) aufgestellt. Die bisherige Form der Darstellung und die bisher angewandten Bewertungsmethoden wurden insoweit angepasst. Eine Durchbrechung der Stetigkeit liegt insoweit vor (Art. 67 VIII 1 HGB). Die Vorjahreszahlen wurden bezüglich des Ausweises angepasst. 2. Bilanzierungs- und Bewertungsgrundsätze Die Anteile an verbundene Unternehmen sind zum Nennwert eingebracht. Die Anschaffungsnebenkosten wurden aktiviert. Die Vermögensgegenstände des Umlaufvermögens werden zum Nennwert angesetzt. Wertberichtigungen waren nicht veranlasst. Die Rückstellungen berücksichtigen alle erkennbaren ungewissen Verpflichtungen. ANGABEN ZUR BILANZ 3. Sonstige Vermögensgegenstände Sonstige Vermögensgegenstände mit einer Restlaufzeit von mehr als einem Jahr bestanden nicht (Vj. 0 T€). 4. Haftungsverhältnisse und sonstige finanzielle Verpflichtungen Zum Bilanzstichtag bestanden weder Haftungsverhältnisse gemäß § 251 HGB noch sonstige finanzielle Verpflichtungen. ANGABEN ZUR GEWINN- UND VERLUSTRECHNUNG 5. Allgemein Die Gewinn- und Verlustrechnung wurde im Gesamtkostenverfahren erstellt. SONSTIGE ANGABEN 6. Anteilsbesitz
7. Geschäftsführung Im Geschäftsjahr 2010 waren Herr Rainer Hoffmann, Dipl.-Informatiker und Herr Dr. Thomas Zachau, Dipl.-Kaufmann als Geschäftsführer bestellt. 8. Sonstiges Von den Erleichterungen der §§ 274 a, 288 HGB wurde Gebrauch gemacht. München, den 08.
