Ramboll Holding GmbH ist alleinige Gesellschafterin der Ramboll GmbH. Sie hält, vertreten durch ihren Geschäftsführer Herrn Erik Simonsen und Prokuristen Herrn Andreas Gaigl unter Verzicht auf die Einhaltung von Form und Fristvorschriften eine Gesellschafterversammlung ab und beschließt wie folgt: Ramboll Holding GmbH is the sole shareholder of Ramboll GmbH. With waiver to the compliance to the form and deadline regulations, Ramboll Holding GmbH holds the corporate meeting represented by the Managing Directors Mr. Erik Simonsen and Prokurist Mr. Andreas Gaigl and decides as follows:
1. Der Jahresabschluss zum 31.12.2017, zu dem die PWC PricewaterhouseCoopers AG, Alsterufer 1, 20354 Hamburg, Wirtschaftsprüfungsgesellschaft, am 04. April 2019 einen uneingeschränkten Bestätigungsvermerk erteilt hat, wird festgestellt. 1. The annual financial statements 31.12.2017, to which PWC PricewaterhouseCoopers AG, Alsterufer 1, 20354 Hamburg, Wirtschaftsprüfungsgesellschaft, issued an unreserved confirmation on 4 th of April 2019, are approved.
2. Das Jahresergebnis 2017 in Höhe von € 75.352,30 wird aufgrund des bestehenden Ergebnisabführungsvertrags an die Ramboll Holding GmbH abgeführt. 2. The net profit for 2017 of € 75.352,30 will be transferred to Ramboll Holding GmbH based on the profit-and-loss transfer agreement.
3. Dem Geschäftsführer Dr.-Ing. Peter Ruland wird für das Jahr 2017 Entlastung erteilt. 3. For the year 2017 discharge is granted to the managing director Dr.-Ing. Peter Ruland
