Anhang für das Geschäftsjahr 2022A. Allgemeine Angaben und Erläuterungen zum Jahresabschluss Der Jahresabschluss der MedGroup GmbH, Stuttgart, wurde für das Geschäftsjahr 2022 nach den Vorschriften des HGB unter Beachtung der ergänzenden Bestimmungen für Kapitalgesellschaften (§§ 267 ff. HGB) aufgestellt. Bei der Gesellschaft handelt es sich um eine kleine Kapitalgesellschaft gem. § 267 Abs.1 HGB in Verbindung mit § 267a Abs. 3 Nr. 3 HGB. Die Gliederung der Bilanz entspricht den Vorschriften der §§ 266 ff. HGB. Die Gewinn- und Verlustrechnung wurde nach dem Gesamtkostenverfahren gemäß § 275 Abs. 2 HGB aufgestellt. Das Geschäftsjahr entspricht dem Kalenderjahr. B. Bilanzierungs- und Bewertungsmethoden Die Finanzanlagen werden zu Anschaffungskosten bewertet. Es liegen keine voraussichtlichen dauerhaften Wertminderungen vor. Dies gilt insbesondere im Hinblick auf die Beteiligung an der REF Real Estate Franchise GmbH. Der REF Real Estate Franchise GmbH wurden im Geschäftsjahr 2023 durch zwei Darlehensverträge nachrangige Gesellschafterdarlehen i. H. v. insgesamt EUR 1.800.000,00 gewährt, hiervon wurden bislang EUR 800.000,00 an die REF Real Estate Franchise GmbH ausgezahlt, die übrigen Darlehenstranchen werden im März bzw. Juni 2024 zur Zahlung an die REF Real Estate Franchise GmbH fällig. Die Geschäftsführung der REF Real Estate Franchise GmbH hat auf dieser Basis im November 2023 eine Planungsrechnung bis Ende 2025 erstellt, welche ab dem Jahr 2025 ein positives Betriebsergebnis der REF Real Estate Franchise GmbH ausweist, was die Rückführung der Gesellschafterdarlehen und perspektivisch Gewinnausschüttungen durch die REF Real Estate Franchise GmbH erwarten lässt. Darüber hinaus hat der Gesellschafter Impact Property Developers Ltd. Anfang 2024 seine Beteiligung an der Gesellschaft (33,33 %) zu einem Kaufpreis i. H. v. EUR 500.000,00 an den neuen Gesellschafter Adrian Burry verkauft. Die sonstigen Vermögensgegenstände sowie die liquiden Mittel werden zu Nennwerten angesetzt. Die Rückstellungen berücksichtigen alle im Zeitpunkt der Bilanzerstellung erkennbaren Risiken und ungewissen Verbindlichkeiten. Sie sind in der Höhe angesetzt, die nach vernünftiger kaufmännischer Beurteilung notwendig ist. Die Verbindlichkeiten sind mit Ihrem Rückzahlungswert passiviert. C. Erläuterungen zur Bilanz Die Forderungen und die in den sonstigen Vermögensgegenständen enthaltenen Forderungen sind innerhalb eines Jahres fällig. Die sonstigen Rückstellungen wurden für Jahresabschluss- und Beratungskosten 2022 gebildet. Von den Verbindlichkeiten haben EUR 146.591,26. eine Restlaufzeit von unter einem Jahr und EUR 1.973.754,53 von über einem Jahr. D. Sonstige Angaben Geschäftsführung
Haftungsverhältnisse Es bestanden keine Haftungsverhältnisse i.S. des § 251 HGB.
